The nominee is an important position in an OPC as it is required by law that every OPC must have a nominee who will take over the company’s operations in the event of the owner’s death or incapacity. The nominee consent form, therefore, ensures that the person who will act as the nominee of the OPC is aware of their responsibilities and has given their consent to act in this position. Who Is Considered To Be A Nominee In A One Person Company?

In a one-person company, there is only one person who is both the owner and the director. Therefore, there are no nominees in the traditional sense of the word. However, the Companies Act 2013[1] in India, which governs the formation and functioning of companies, requires that a one-person company shall nominate a person to act as a nominee director in case of death or incapacity of the owner. The nominee director will then act as the director of the company until the legal heir or representative of the owner is appointed or elected as the director of the company. The nominee director is not a shareholder and doesn’t have any ownership rights in the company. The nominee director is only responsible for managing the company in the absence of the owner.

  5. Declaration of Not Being a Minor or Disqualified Person: The nominee must declare that he/she is not a minor, of sound mind, and not disqualified from acting as a director under any law.
  6. Indemnity: The nominee must agree to indemnify the company for any losses or damages incurred by the company due to any act or omission on his/her part.

Step To File For the Nominee Consent Form In Case Of OPC
