Also, there is less compliance and\nregulations, and the cost of forming an LLP is low.&nbsp; The minimum number of\npartners required to incorporate an LLP is 2. Among all these partners, a\nminimum of two partners should be designated. Also, one partner should be a\nresident of India.&nbsp;There is an agreement called LLP Agreement which\ngoverns the rights and duties of these designated partners.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Concept_of_LLP_under_Limited_Liability_Partnership_Act_2008\"><\/span>Concept of LLP under Limited Liability Partnership Act,\n2008<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>LLP stands\nfor a Limited Liability Partnership and is a form of corporate business that\nprovides the benefits of limited liability of any company and the flexibility\nof the Partnership. Therefore, it indicates the elements of partnerships and\ncorporations. In an LLP (Limited Liability Partnership), one partner is not\nliable for another partner\u2019s misconduct or negligence. The legal compliances\nare less in LLPs as compared to company form of business and a minimum of two\npeople can form an LLP. There is no maximum limit on the number of its partners\nin LLPs. Now, LLP is a preferred choice for small businesses instead of a\ngeneral partnership.<\/p>\n\n\n\n<p>It has a\nSeparate Legal Identity from its partner. Limited Liability Partnership (LLP)\nis formed under the Limited Liability Partnership Act, 2008. The partners in an\nLLP are not liable for the unauthorized actions of the other partner and the\nliability of the individual partner is restricted to his stake in the Capital.\nIt is a body corporate with a distinct legal entity and perpetual succession\nand applies to any trade or business.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Documents_Required_For_the_Incorporation_of_an_LLP\"><\/span>Documents Required For the Incorporation of an LLP<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p><strong>&nbsp;I.&nbsp;Documents\nrequired for DSC-<\/strong><\/p>\n\n\n\n<p>For LLP\nregistration, you must&nbsp;apply for the DSC of the designated partners of the\nproposed LLP. It is one of the initial steps to apply for DSC before the LLP\nRegistration process. The entire process is done online and requires to be\ndigitally signed. The designated partners must get the DSC. The documents required\nfor DSC are-<\/p>\n\n\n\n<ul><li>Passport size photo of the partner.<\/li><li>Copy of Id and Address Proof.<\/li><li>Email Id and Phone number<\/li><li>Specimen Signature.<\/li><\/ul>\n\n\n\n<p><strong>II. For Id\nand address proof, the designated partner can opt for the following documents-<\/strong><\/p>\n\n\n\n<ul><li><em>Voter ID Card<\/em><\/li><li><em>PAN Card<\/em><\/li><li><em>Passport<\/em><\/li><li><em>Aadhaar Card<\/em><\/li><li><em>Passport<\/em><\/li><li><em>Electricity Bill<\/em><\/li><li><em>Ration Card<\/em><\/li><li><em>Telephone Bill<\/em><\/li><li><em>Driving License<\/em><\/li><\/ul>\n\n\n\n<p><strong>III. For\nResidential proof, the designated partner can opt for the following documents-<\/strong><\/p>\n\n\n\n<ul><li>Copy of Current Bank Account Statement\/Phone Bill\/Gas or Electricity Bill)<\/li><li>Copy of\u00a0Rent agreement<\/li><li>No-objection Certificate from the property landowner<\/li><li>Copy of the property\u00a0(if the property is owned)<\/li><\/ul>\n\n\n\n<p><strong>VI.\nSubscriber\u2019s Sheet including the consent of the Partners.<\/strong><\/p>\n\n\n\n<p><strong>V. In\nprincipal approval of the Regulatory Authorities, if the proposed name includes\nthe word that requires the approval of Regulated authorities<\/strong><\/p>\n\n\n\n<p><strong>VI. Additional Documents in case the Designated Partner is also a director\/partner in any other company or LLP.<\/strong><\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"What_is_The_Process_of_Registration_of_LLP\"><\/span>What is The Process of Registration of LLP?<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p><strong>The procedure for Limited Liability Partnership Registration is as follows:-<\/strong><\/p>\n\n\n\n<div class=\"wp-block-image\"><figure class=\"aligncenter\"><img decoding=\"async\" width=\"476\" height=\"311\" src=\"https:\/\/corpbiz.io\/learning\/wp-content\/uploads\/2021\/03\/image-12.png\" alt=\" Process of Registration of LLP\" class=\"wp-image-27785\" srcset=\"https:\/\/corpbiz.io\/learning\/wp-content\/uploads\/2021\/03\/image-12.png 476w, https:\/\/corpbiz.io\/learning\/wp-content\/uploads\/2021\/03\/image-12-300x196.png 300w\" sizes=\"(max-width: 476px) 100vw, 476px\" \/><\/figure><\/div>\n\n\n\n<p>MCA\n(Ministry of Corporate Affairs) has reported an amendment to the LLP (Limited\nLiability Partnership) Rules, 2009 wherein LLPs name reservation and\nincorporation process has been amended to ease of doing business IN India.\nMoreover, the \u2018RUN-LLP\u2019 is a new web-based form commenced by the authorities\nthrough which the names of an LLP can be reserved without DPIN and DSC. Hereby,\nRUN-LLP Form is comparable and almost similar to the RUN web form in matter of\ncompanies.<\/p>\n\n\n\n<p>To make\nthe LLP incorporation process easier, a new form named FiLLiP) (Form for\nIncorporation of Limited Liability Partnership) has been introduced by which\nLLPs can be incorporated by 2 individuals as designated partners who do not\ncarry DIN.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Obtain the DSC (Digital Signature Certificate)<\/h3>\n\n\n\n<p>To\ninitiate the process of registration, you need to apply for the Digital\nSignature of the designated partners of the proposed LLP.&nbsp; The Designated\npartner has to obtain their digital signature certificates from the certified\ngovernment agencies. The list of certified agencies is given as:<\/p>\n\n\n\n<ul><li>National Informatics Center (NIC)<\/li><li>IDRBT Certifying Authority<\/li><li>SafeScrypt CA Services, Sify Communications Ltd.<\/li><li>Code Solutions CA<\/li><li>E-MUDHRA<\/li><li>CDAC<\/li><li>NSDL<\/li><li>Capricorn<\/li><\/ul>\n\n\n\n<p>These different agencies charge different costs for obtaining the DSC.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Apply for DIN (Director Identification Number)<\/h3>\n\n\n\n<p>After\nobtaining the DSC, you need to apply for the DIN of all the designated partners\nand for those who intend to be the designated partner of the proposed LLP.\nThere is a FORM named DIR-3 for through which the application for the allotment\nof DIN is made. When you apply for the DIN, you need to attach the scanned copy\nof documents such as your Aadhar Card or PAN card. The form has to be signed by\na CS (Company Secretary) who is a full-time employee of the company or any of\nthe Managing Director, CEO\/CFO of the existing company.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Name Reservation<\/h3>\n\n\n\n<p>For\nreserving the name of the LLP Company, LLP-RUN is filed the Central\nRegistration shall process which under the NON-STP. There is a provision to\napply for two proposed name of the LLP. You need to check the availability of\nthe name of your LLP on the MCA Website. The name must be different from any of\nthe existing company names; then only the Registrar will approve the name. In\ncase, the name is approved, the form RUN-LLP is accompanied with fee as per the\nAnnexure \u201cA\u201d. In case, the name is rejected, the re-submission of the new name\nmust be done within 15 days.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Incorporation of the LLP<\/h3>\n\n\n\n<ul><li>After the successful approval of the name of your LLP, a Form called FiLLiP (Form foe Incorporation of limited liability partnership) is filed. This  form is filed with the Registrar of the state in which the registered office of the LLP is registered.<\/li><li>The fee is paid in accordance with the provisions mentioned in the Annexure \u201cA\u201d.<\/li><li>If an individual who is to be appointed as a designated partner does not have a DPIN or DIN, the Form FiLLiP provides the allotment of DPIN.<\/li><li>Two individuals are allowed to apply for the allotment of DPIN.<\/li><li>For reserving the name, the application must be made through FiLLiP.<\/li><li>If the name that you have applied for has been approved, then the approved and reserved name must be filed as the final proposed name of the LLP.<\/li><\/ul>\n\n\n\n<h3 class=\"wp-block-heading\">File Limited Liability Partnership Agreement<\/h3>\n\n\n\n<p>These\nsteps are the after company incorporation steps. The applicant needs to submit\nthe partnership agreement in FORM-3 on the MCA portal within 30 days of the\nIncorporation of the LLP.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">File PAN Application<\/h3>\n\n\n\n<p>After the\nLLP registration is completed, the applicants have to fill the PAN application\nfor the LLP by providing all the details and relevant documents.<\/p>\n\n\n\n<p><strong>Submission of Requisite Documents<\/strong><\/p>\n\n\n\n<p>\u00a0In the case of LLP Registration, an applicant is obligatory to attach the essential documents for <a href=\"https:\/\/corpbiz.io\/llp-registration\"><strong>LLP registration<\/strong><\/a>. The below-mentioned documents are necessary for LLP registration-<\/p>\n\n\n\n<ul><li>Residential proof and Id of the designated partners.<\/li><li>Passport size photograph<\/li><li>Specimen &amp; signatures of the designated partners<\/li><li>Proof of address of office- the place of business.<\/li><li>Subscriber sheet together with the consent of the designated partners.<\/li><li>Main disclosure of LLP(s) and\/ or company(s) in which designated partner is already in a position of a director or partner.<\/li><li>In case the proposed name holds any expression(s) or word(s) which needs approval from the central government, the associated documents are to be submitted as an attachment with the same.<\/li><\/ul>\n\n\n\n<p><strong>Note-All\nthe attachments must be scanned in pdf format.<\/strong><\/p>\n\n\n\n<ul><li>Incorporation Certificate\u2013 MCA will grant the application within 5 to 7 working\/business days, once the form is presented to the MCA along with the essential attachment for LLP incorporation. After that if everything goes well, Incorporation certification will get issued by the authority.<\/li><\/ul>\n\n\n\n<ul><li>LLP agreement-\u00a0The applicant has to submit the\u00a0<a href=\"https:\/\/corpbiz.io\/learning\/stamp-duty-on-llp-agreement\/\"><strong>LLP agreement<\/strong><\/a>\u00a0after incorporation of your LLP. The agreement identifies the mutual rights and duties amongst the partners.<\/li><li>LLP agreement should be filed online in\u00a0<strong>FORM-3\u00a0<\/strong>from the date      of incorporation \u2013 within 30 days.<\/li><li>The LLP Agreement should be printed on Stamp Paper and the value of Stamp Paper is different for every state.<\/li><\/ul>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Factors_to_consider_while_selecting_name_for_LLP\"><\/span>Factors to\nconsider while selecting name for LLP <span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>The Registrar of Companies (RoC) has notified the guidelines for names for LLPs. It is\nnecessary that the\nrules are closely followed or the application might be rejected which can lead\nto a much longer process.<\/p>\n\n\n\n<p><strong>Unique\nComponent-<\/strong><strong><\/strong><\/p>\n\n\n\n<p>The\nname once already taken shall not\nbe given to any other business. Hence, the applicant must\nensure that the name he is applying for is a unique one.<\/p>\n\n\n\n<p><strong>Blacklist-<\/strong><strong><\/strong><\/p>\n\n\n\n<p>Adjectives, generic words and abbreviations are strictly not allowed. So names like ABC and good quality cookies would be rejected. The\nwords like bank, stock exchange and exchange\nhave to be first approved\nby RBI or SEBI or else would be\nrejected.<\/p>\n\n\n\n<p><strong>No\nCommon Trademark-<\/strong><strong><\/strong><\/p>\n\n\n\n<p>There should not be a registered\ntrademark by the same name on the IP India website.
