Additionally, only one entity is allowed to be set up as specified by the <strong>Ministry of Corporate Affairs<\/strong><sup><a href=\"https:\/\/www.mca.gov.in\/content\/mca\/global\/en\/home.html\"><strong>[1]<\/strong><\/a><\/sup><strong>.<\/strong><\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Documents_Required_for_One_Person_Company_Registration\"><\/span>Documents Required for One Person Company Registration<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p><em><strong>You need to prepare the following documents which are required to be submitted to the Registrar of Companies {ROC}:<\/strong><\/em><\/p>\n\n\n\n<ul><li>The\u00a0Memorandum of Association\u00a0(MoA): It specifies the objects to be followed by a Company and states the type of business for which the company is going to be incorporated.<\/li><li>The\u00a0Article of the Association\u00a0(AoA): It lays down the by-laws on which the company is going to operate.<\/li><li>Since there are only 1 Director and a member, a nominee on behalf of such a person has to be appointed. This is because in case he becomes incapacitated or dies and cannot perform his duties, the nominee will act his responsibilities on behalf of the director and take his place. The consent in\u00a0<strong>Form INC \u2013 3<\/strong>\u00a0need to be submitted along with his PAN card and Aadhar Card.<\/li><li>You need to submit proof of the registered office (such as a Rent agreement,) along with the evidence of ownership and a NOC of the owner.<\/li><li>Also, there is a need to submit the Affidavit and Consent of the proposed Director in Form INC -9 and DIR \u2013 2 respectively.<\/li><li>Lastly, a declaration by professional is required to certify that all compliances have been made.<\/li><li>Scanned transcript of Current Bank Account Statement\/Phone or Mobile Invoice\/Gas or Electricity Invoice)<\/li><li>Scanned transcript of\u00a0<a href=\"https:\/\/corpbiz.io\/commercial-rental-agreement\"><strong>Rental Agreement<\/strong><\/a> written\u00a0in the English language<\/li><li>Scanned  transcript of N-O or No-objection Certificate from the concerned property landowner<\/li><li>Scanned transcript of Property or\u00a0Sale Deed\u00a0printed in English (if the property is owned)<\/li><li>Scanned transcript of Passport (Foreign Nationals &amp; NRIs) or <a href=\"https:\/\/corpbiz.io\/how-to-apply-for-a-pan-card\"><strong>PAN Card<\/strong><\/a><\/li><li>Scanned transcript of Passport, Voter\u2019s ID or Driver\u2019s License<\/li><li>Scanned transcript of Current Bank Account Statement\/Phone or Mobile Invoice\/Electricity or Gas Invoice<\/li><li>Scanned passport-sized photo<\/li><li>Specimen autograph or impression (blank document with autograph)<\/li><li>Any other specified document<\/li><\/ul>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"One_Person_Company_Registration_Procedure\"><\/span>One Person Company Registration Procedure<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p><strong><em>Follow the given steps to register your One Person Company:<\/em><\/strong><\/p>\n\n\n\n<p><strong>Step 1:<\/strong>&nbsp;Apply for DSC with the documents like Address Proof, Aadhaar card, PAN card, Photo, Email Id and Phone Number<\/p>\n\n\n\n<p><strong>Step 2:<\/strong>&nbsp; <strong>Name Reservation-&nbsp;<\/strong>The name of the Company can be applied by using the \u2018SPICe+\u2019 utility on the MCA portal under \u2018MCA SERVICES\u2019. click on the \u2018New Application\u2019 and file in SPICe+ form Part A.  Two names can be suggested for name reservation in this case.  It is important for the name of the company to have \u2018(<strong>OPC) Private Limited<\/strong>\u2019 as the suffix <\/p>\n\n\n\n<p><strong>Step 3:<\/strong>&nbsp;<strong>Form Filing-<\/strong>&nbsp;DIN of the director&#8217;s and subscriber&#8217;s, could be applied during the filing of the form. Then shall proceed with filling up all the details in SPICe+ Part B. All the documents together with Form INC-3 shall be uploaded. <\/p>\n\n\n\n<p><strong>Step 4:<\/strong>&nbsp; After SPICe+ Part B is submitted, other forms like AGILE-PRO, SPICe+ AoA and SPICe+ MoA shall also be filled up and uploaded with details. INC-9 will be generated automatically on the basis of information that is filled in SPICe+ Part B. <\/p>\n\n\n\n<p><strong>Step 5<\/strong>: Submit the required forms and attach them to the <a href=\"https:\/\/corpbiz.io\/spice-plus-form-mca\"><strong>SPICe+ Form<\/strong><\/a>, SPICe+MOA and SPICe+AOA together with the <a href=\"https:\/\/corpbiz.io\/dsc-registration\"><strong>DSC<\/strong><\/a> of the Director to the portal of MCA.<\/p>\n\n\n\n<p><strong>Step 6:<\/strong>&nbsp;Finally on verification, the ROC shall issue the Certificate of Incorporation.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Disadvantages_of_forming_an_OPC\"><\/span>Disadvantages of forming an OPC<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>It is true\nthat incorporating an OPC has its own advantages; however, it can hold certain\ndisadvantages also.
