Section 37, of Trademark Act,\n1999 trademark assignment is a transfer of an owner&#8217;s right, title, and\ninterest in trademark or brand mark. A case where trademark is registered, the assignment is required to be recorded in trademark register. <\/div>\n\n\n\n<p>The process when right and ownership of the trademark are\ntransferred to any other person is called trademark assignment. Partial\nassignment of trademark is generally known as licensing. <\/p>\n\n\n\n<p>Further, the assignment of trademark usually takes place through execution of the agreement between the parties, which is known as Trademark Assignment Agreement.&nbsp;Assignment agreement will be considered as legally valid when it shows intention the part of the assignor to transfer complete or partial ownership of the mark. <\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"What_are_the_kinds_of_Trademark_Assignment\"><\/span>What are the kinds of Trademark Assignment?<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<div class=\"wp-block-image\"><figure class=\"aligncenter\"><img decoding=\"async\" width=\"577\" height=\"339\" src=\"https:\/\/corpbiz.io\/learning\/wp-content\/uploads\/2020\/04\/image-17.png\" alt=\"Types of Trademark Assignment\" class=\"wp-image-6221\" srcset=\"https:\/\/corpbiz.io\/learning\/wp-content\/uploads\/2020\/04\/image-17.png 577w, https:\/\/corpbiz.io\/learning\/wp-content\/uploads\/2020\/04\/image-17-300x176.png 300w\" sizes=\"(max-width: 577px) 100vw, 577px\" \/><\/figure><\/div>\n\n\n\n<ul><li><strong>Complete Assignment;<\/strong><\/li><\/ul>\n\n\n\n<p>In such\nassignment, complete rights in relation to a registered trademark are\ntransferred to the second party. The owner here transfers all the rights with\nrespect to marking to the other party, which includes rights of further\ntransfer, to earn royalties, etc.<\/p>\n\n\n\n<p>For\nexample, A, the proprietor of a brand, sells\nhis mark completely through an agreement to B. Now, A does not retain any\nrights with respect to the brand.<\/p>\n\n\n\n<ul><li><strong>Partial Assignment;<\/strong><\/li><\/ul>\n\n\n\n<p>In case of partial assignment, transfer\nof ownership is limited to certain services\/products as parties have decided or\nexpressed in trademark assignment agreement. <\/p>\n\n\n\n<p>For example; &nbsp;X, the proprietor of a brand used for jams and\njellies and dairy products. X assigns the rights in the brand with respect to\nonly dairy products to&nbsp; R and retains the\nrights in the brand with respect to jams and jellies.<\/p>\n\n\n\n<p>Further, a complete and partial\nassignment can be made with goodwill or without goodwill.<\/p>\n\n\n\n<ul><li><strong>Assignment with goodwill;<\/strong><\/li><\/ul>\n\n\n\n<p>Such\nassignments are made when value and right, both the things associated with the\ntrademark are transferred to the third entity with goodwill. <\/p>\n\n\n\n<p>For Example, R, the proprietor of a brand\n&#8220;Shudh&#8221; relating to shoe products, sells his brand to S such that S will\nbe able to use the brand &#8220;Shudh&#8221; with respect to dairy products as\nwell as any other products it manufactures.<\/p>\n\n\n\n<ul><li><strong>Assignment without goodwill;<\/strong><\/li><\/ul>\n\n\n\n<p>Assignment without goodwill is also known as gross assignment.\nHere, the owner of the brand restricts the right of the buyer. The buyer cannot\nuse such a brand for the product being used by the original owner.&nbsp; Hence, &nbsp;the goodwill attached to such a brand with respect to the product\nalready being sold under such a brand is not transferred to the buyer.&nbsp; <\/p>\n\n\n\n<p>For Example; P, the proprietor\nof a brand &#8220;Shudh&#8221; relating to dairy products, sells his brand to Q\nsuch that Q will&nbsp;<strong>not<\/strong>&nbsp;be able to use the\nmark &#8220;Shudh&#8221; with respect to dairy products but can use this brand\nfor any other products being manufactured by it. In such case, the goodwill\nwhich is associated with brand &#8220;Shudh&#8221; for dairy products is not\ntransferred to Q, and Q will be required to create distinct goodwill of brand &#8220;Shudh&#8221;\nfor any other product or service like Restaurant wherein Q proposes to use this\nbrand.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Few_Restrictions_as_per_Trade_Mark_Act_1999\"><\/span>Few Restrictions as per Trade\nMark Act, 1999<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<ul><li>Restriction over such\nassignment, which results in the creation of exclusive rights in more than one\nperson with respect to same goods and services, or for same depiction of goods\nand services or such goods and services are associated with each other.<\/li><li>Restriction over such\nassignment which results in different people using the mark in different parts\nof the country&nbsp;&nbsp; <\/li><li>Restriction on assignment that\nresults in different people using the trademark in different parts of the\ncountry together.<\/li><\/ul>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"What_is_Trademark_Licensing\"><\/span>What is Trademark\nLicensing?<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>The\nconcept of Trademark Licensing allows the other to use the mark without\nassigning the ownership. Also, the same can be done for all or few goods and\nservices covered. Trademark Act does not talk about the term &#8216;License,&#8217; whereas\nthe term used in the act is &#8216;registered user.&#8217;<\/p>\n\n\n\n<p>Trademark\nassignment is beneficial for both the parties. One can make a appeal for the same under form TM-16\u201d.<\/div>\n\n\n\n<h3 class=\"wp-block-heading\"><em>Assignment of the registered trademark;<\/em><\/h3>\n\n\n\n<p>According to section 38 of Trademark act, 1999<\/p>\n\n\n\n<div class=\"shadow1\">\u201cIt states that a trademark can be assigned in part with or without goodwill. All the assignments can be made on Form 23 or 24 of the Trademark.\u201d<\/div>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"What_is_the_procedure_for_Trademark_Assignment_Agreement\"><\/span><strong>What is the procedure for\nTrademark Assignment Agreement?<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p><strong><em>Following\nis the procedure for trademark assignment;<\/em><\/strong><\/p>\n\n\n\n<ul><li>The\nfirst step is to form an application for the assignment of trademark. The plea\ncan be made either by the assignee or assignor or by both. Furnish all the\nrequired details of the transfer mention under form TM-P.<\/li><li>After\ncompleting the application drafting, the same is required to be submitted with\nthe registrar of the trademark. The same is required to be done within the 6\nmonths of acquisition of proprietorship. <\/li><li>The\ndirection of the registrar is mandatory before the expiry of 6 months in case\nwhen trademark assignment is done with the goodwill or of registered mark.<\/li><li>Registrar\nwill specify the advertisement of trademark assignment. Once the specification\nis done, applicant can make the advertisement accordingly. The applicant is\nrequired to submit a copy of the advertisement and registrar&#8217;s direction in\noffice of registrar.<\/li><li>In the\nfinal step, once the registrar gets satisfied with the documents submitted, he\nshall officially transfer the trademark from original to the new owner.<\/li><\/ul>\n\n\n\n<p>Now,\nthe name of the new assignee is registered as a new proprietor. After this, the\nassignee is eligible to use the trademark as per the terms of the agreement. &nbsp;&nbsp;&nbsp;&nbsp;&nbsp; <\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"What_is_the_prescribed_form_for_the_Trademark_Assignment\"><\/span>What is the prescribed form for the Trademark Assignment?<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>An\napplication for trademark assignment can be made in Form TM-24.
