The term &#8220;executive director&#8221; does not have a clear meaning under the Companies Act of 1956. According to the Companies Act, 2013 (the Act), a director who works full-time for a business is referred to as an &#8220;executive director.&#8221; In most cases, &#8220;directors&#8221; of a corporation are full-time employees who have roles as directors or executive directors. Their job titles may include things like &#8220;Director of Sales,&#8221; &#8220;Director of Production,&#8221; &#8220;Director of Research and Development,&#8221; &#8220;Director of Marketing,&#8221; etc.<\/p>\n\n\n\n<p>These\ndirectors often do not have a big impact on the day-to-day operations of the\nbusiness where they are employed. This article explores the provisions of the\nAct and the Rules published under it that apply to the nomination of an\nExecutive Director or a full-time Director of a company, and it gives a\nthorough checklist for doing so.
