It is the country&#8217;s second-largest\nemployer, employing approximately 40 million people. Furthermore, the\nindustry&#8217;s growth depends on several variables: population expansion, growing\nurbanisation, and increased disposable income. This has placed the building and\nconstruction project sector in a favourable position today and in the following\ndecades. Furthermore, the need for housing, construction projects, and so on\nwill continue to rise. India is also predicted to be the third-largest building\nmarket by 2025. The initiative to construct smart cities has significantly\nincreased due to the relevance of this industry. Furthermore, India&#8217;s building\nsector heavily relies on the legal system to complete the project, including\ncontracts, incorporation, taxation, etc. Furthermore, the key laws that govern\nand regulate the operations of construction projects in India, are &#8211; <\/p>\n\n\n\n<h3 class=\"wp-block-heading\">The Companies Act, 2013<\/h3>\n\n\n\n<p>This act primarily\ncomprises \u201cIncorporation of a Company,\u201d \u201cManagement of a Company,\u201d and the regulations\ninvolved per se. Before beginning a construction project, a legal body must be\nformed with the essential disclosures, names, paperwork, etc. Moreover, any\ncompany in India is formed\/registered in accordance with the rules of the\nCompanies Act 2013. In this instance, a building and construction project can\nbe registered similarly.<\/p>\n\n\n\n<p>When\nregistering for a building and construction project, the following factors must\nbe considered:<\/p>\n\n\n\n<p>Just two\ntypes of corporations can be registered under the Companies Act<\/p>\n\n\n\n<ul><li>Private Company\nAnd <\/li><li>Public\nCompanies.<\/li><\/ul>\n\n\n\n<p>A\nbuilding company can be both private and public. Any of the options can be\nconsidered when beginning a construction project. Similarly, most construction projects\nare often privately held due to the simplicity of management and registration\nof private companies.<\/p>\n\n\n\n<ul><li><strong>Reservation of Name<\/strong><\/li><\/ul>\n\n\n\n<p>In this\nstep, a name is selected for the project, which gets finalised after the\napproval from the Registrar within 20 days of the application.<\/p>\n\n\n\n<p><strong>Forming\nof Object<\/strong><\/p>\n\n\n\n<p>The\nobject of the project is formed by preparing the Memorandum of Association\n(MoA),&#8217; which entails the project\u2019s operations, aims and potential scope. <\/p>\n\n\n\n<p><strong>Filing of\nApplication<\/strong><\/p>\n\n\n\n<p>In this\nstep, the documents are filed with the Registrar within whose jurisdiction the building\nand construction project will be functioning.<\/p>\n\n\n\n<p><strong>Certificate\nof Application<\/strong><\/p>\n\n\n\n<p>The\nRegistrar issues the certificate after inspecting all the paperwork and\ncompleting all relevant legal requirements and fees payment. The Registrar will\nalso offer a CIN (Corporate Identification Number) as the project\u2019s unique\nidentifier.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Indian Contract Act of 1872<\/h3>\n\n\n\n<p><strong>The Indian Contract Act of 1872<\/strong><sup><a class=\"text-primary\" href=\"http:\/\/www.environmentwb.gov.in\/pdf\/EIA%20Notification,%202006.pdf\"><strong>[1]<\/strong><\/a><\/sup> shall\ngovern and enforce all contracts relating to the project. When a construction\nbusiness begins on a project, it enters into many contracts. This contract may\nbe entered into between two construction companies, a state or federal\ngovernment, or a buyer. The building contracts will be examined further as per\nthe project\u2019s functioning and requirements.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">The Goods and Service Tax Act, 2017<\/h3>\n\n\n\n<p>All\nbuilding and construction projects are subject to taxes. The 2017 Goods and\nServices Tax has published new standards and rates for building contracts and\nprojects.<\/p>\n\n\n\n<p>Regarding\nbuilding and construction projects, the GST rates are as follows:<\/p>\n\n\n\n<ul><li>For the construction of buildings, complexes,\ncivil structure or a part including a complex or building intended for sale to\na buyer, the GST rate is 18% with full input tax credit (ITC) available on\ninputs and input services.<\/li><li>For works contract services such as maintenance,\nrepair, renovation, or alteration of an existing structure, the GST rate is\nalso 18%, with full ITC available on inputs and input services.<\/li><\/ul>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Getting_Ministry_Of_Environment_and_Forests_Permissions_and_Certifications_NOCs\"><\/span>Getting Ministry Of\nEnvironment and\nForests Permissions\nand Certifications (NOCs)<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>Environmental\npermissions must be obtained before a building project can begin. The Ministry\nof Environment Projects issues this <strong><a class=\"text-primary\" href=\"https:\/\/corpbiz.io\/environmental-clearance\">environmental clearance<\/a><\/strong> (EC). Every project larger\nthan or equal to 20,000 square metres requires environmental approval.\nFurthermore, every township or area development project spanning more than 50\nhectares requires approval.<\/p>\n\n\n\n<p>If the\nproject is less than 20,000 square metres or 50 hectares, the EC will not be\nrequired; however, the NOC\/approval of the State Pollution Control Board, Local\nMunicipal Committee\/Panchayat, Approval of Fire Safety Department, Approval of\nthe Aviation Department, and if the project is in a forest area, approval of\nthe regional office of the Ministry of Environment and Forest will be required.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Construction\nContracts <\/h3>\n\n\n\n<p>Several legal procedures and deals will\noccur before a building project starts. An example of this is Construction\nContracts. A construction contract is also formed between the employer and the\ncontractor before the start of the project. A construction contract, sometimes\nknown as a &#8220;work contract,&#8221; is the legal agreement between a\ncontractor and an employer to build assets.<\/p>\n\n\n\n<p>There\nis no standard type of building contract in India. Nonetheless, several\nregularly used contracts are issued by the International Federation of\nConsulting Engineers, the Institute of Civil Engineers, and the Indian\nInstitute of Architects. The following are some of the typical types of contracts\nencountered in the construction industry:<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">EPCs (Engineering, Procurement, and Construction Contracts) <\/h3>\n\n\n\n<p>The\nEPC contract is the most popular type of contract in the construction business.\nSimilarly, it establishes a contractual connection between the contractor and\nthe employer by transferring the construction risk and a basic design to the\ncontractor. Also, this increases work efficiency and risk management, making it\nthe best option for contractors and company owners. It is also the most popular\ntype of contract in the building business.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Turn-Key Contracts<\/h3>\n\n\n\n<p>This\ntype will also be widely used in the building industry. In this case, the\nemployer engages a contractor to plan, develop, and build a building and\nconstruction project within a particular deadline. The contractors only need to\n&#8220;turn a key&#8221; to finish the job. Furthermore, this is useful since the\nproject&#8217;s completion procedure is quick and efficient. It is also commonly\nobserved in large-scale undertakings\/industries.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">PPP (Public, Private, Partnership)<\/h3>\n\n\n\n<p>This is where the government, a statutory entity, or\na government-owned corporation engages in a contractual partnership with a\nprivate entity. There are various forms of PPP contracts, including: &#8211;<\/p>\n\n\n\n<ul><li><strong>Build-Operate-Transfer (BOT<\/strong>),\nunder which the private enterprise is responsible for finance, building and\nconstruction project, and operations before the government takes ownership. <\/li><li><strong>Build-Own-Operate-Transfer\n(BOOT)<\/strong> means that the private partner completes the\nconstruction project for which the concession grants were granted. <\/li><li><strong>Build-Transfer-Operate (BTO)<\/strong>\nThe private partner will allow the facility to run for a set period after the\ncompleted infrastructure is transferred to the state.<\/li><li><strong>Build-Own-Operate (BOO),<\/strong>\nwhere the private sector owns the assets. In addition, the private partner\nconstructs, designs, owns, runs, and maintains the asset.<\/li><\/ul>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Importance_of_EIA_Notification_2006_for_Building_and_Construction_Project\"><\/span>Importance of EIA Notification, 2006 for Building and Construction Project<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p><strong>The EIA Notification, 2006<\/strong><sup><a class=\"text-primary\" href=\"http:\/\/www.environmentwb.gov.in\/pdf\/EIA%20Notification,%202006.pdf\"><strong>[1]<\/strong><\/a><\/sup>, applies\nto a wide range of projects, including building and construction projects.\nHowever, not all building and construction projects require an EIA process. The\nEIA Notification, 2006 classifies building and construction projects based on\ntheir size and capacity and the environmental impact they are likely to have.<\/p>\n\n\n\n<p>For\nbuilding and construction projects, the EIA Notification, 2006 requires that\nprojects that exceed certain thresholds undergo a complete EIA process. These\nthresholds include:<\/p>\n\n\n\n<ul><li>An EIA is mandatory for projects with built-up\narea of more than 20,000 square meters or with a plot area of more than 50,000\nsquare meters.<\/li><li>For projects with a built-up area of more than\n1,50,000 square meters or a plot area of more than 1,50,000 square meters, a\nfull EIA process is mandatory, including public consultation and environmental\nclearance from the MoEFCC.<\/li><\/ul>\n\n\n\n<p><strong>Taxation Laws<\/strong>: Contracts in building\nprojects are classified as &#8220;work contracts&#8221; under the Goods and\nServices Tax Act of 2017. Moreover, work contracts are defined as contracts for\nthe building, construction, erection, installation, fitting out, fabrication,\nand so on of immovable property alone. Also, this statute recognises labour\ncontracts as a service provider.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Conclusion\"><\/span>Conclusion<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>Starting a construction firm currently takes a lot of work. It has various legal elements that should be considered. Furthermore, appropriate counsel and support make establishing a construction firm easier. Similarly, registering a construction firm with infrastructure in a particular place helps the company build a distinct brand and aids its success. Furthermore, contractual agreements for projects serve to secure the company&#8217;s interests and prevent it from future obligations. As a result, focused legal counsel and assistance are beneficial in all these areas.
