The MCA has made the amendment in the exercise of its powers flowing from Section 196(4), Section 197(5) and (12), Section 198(1), Section 200, Section 203(1), Section 204(1), Section 205(1) and Section 469 (1) and (2) of the Companies Act of 2013. The Companies (Appointment and Remuneration of Managerial Personnel) Amendment Rules of 2023 came into effect on 23 January 2023.<\/p>\n\n\n\n<p>The Companies (Appointment and Remuneration of\nManagerial Personnel) Amendment Rules of 2023\nhave substituted Form MR-1 and Form MR-2 present in the annexure of Companies (Appointment and Remuneration of Managerial\nPersonnel) Rules of 2014 with amended\nversions of the same forms. It also gives an idea\nas to who all fall under the purview of the term \u201cmanagerial personnel\u201d. It\nshall include the directors, the managing director, the whole time director and\nthe manager of the company.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Amendments_via_Companies_Appointment_and_Remuneration_of_Managerial_Personnel_Amendment_Rules_2023\"><\/span>Amendments via\nCompanies (Appointment and Remuneration of Managerial Personnel) Amendment\nRules, 2023<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>The Companies (Appointment and Remuneration of\nManagerial Personnel) Amendment Rules of 2023 modified Form number MR.1 and\nForm number MR.2. Form number MR.1 deals with the return\nto be filed with the Registrar of companies regarding the appointment of\nmanagerial personnel and Form number MR.2 contains the application which shall\nbe made to the central government to obtain its approval appointment of a\nmanager or managing director or a whole time director.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"What_is_Form_Number_MR1\"><\/span>What is Form\nNumber MR.1?<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>Form number MR.1 is titled \u201creturn of\nappointment of managerial personnel\u201d. The law governing Form number MR.1 are Section\n196 and Section 197 of the Companies Act of 2013 and Rule 3 of the\nCompanies (Appointment and\nRemuneration of Managerial Personnel) Rules of 2014.\nForm number MR.1 is required to be filed intimating the strong of the\nappointment of managerial personnel before the expiry of 60 days from the date\nof such appointment.<\/p>\n\n\n\n<p>Section\n196 of the Companies Act of 2013 deals with the appointment of a managing\ndirector, manager or whole time director of the company. The proviso to Section\n196 states that the Registrar of the company shall be intimated of the\nappointment by filing the prescribed form before the expiry of 60 days from the\ndate of such appointment.<\/p>\n\n\n\n<p>Rule 3 of the\nCompanies (Appointment and\nRemuneration of Managerial Personnel) Rules of 2014\nstates that the return of appointment, which is required to be submitted with\nthe Registrar of companies, as is provided under Section 196 of the Companies\nAct of 2013, shall be filed under Form number MR.1<\/p>\n\n\n\n<p><strong>Details\nto be filled in the amended form number MR.1<\/strong><\/p>\n\n\n\n<p>The\nbelow mentioned are the details which are required to be filed under Form MR.1:<\/p>\n\n\n\n<ul><li>Details of the\nentity, like name of the company, address of the company&#8217;s registered office\nand whether the company is a public company or a subsidiary of one.<\/li><li>Details of the key\nmanagerial personnel or the KMP: particulars of the person proposed appointee\nwith respect to whom the application is being filed, including the name of such\nperson, director identification number DIN the person being appointed as a\ndirector or the PAN or the membership number and designation of such person.<\/li><li>the date on which the\nresolution was passed by the board of directors<\/li><li>The date of\nappointment of such a person<\/li><li>The terms and\nconditions with respect to renovation and the tenure of appointment appointee<\/li><li>If the person being\nappointed is older than 70 years of age<\/li><li>Whether the appointee\nhas been detained or convicted under any of the statutes mentioned under part\none of schedule 5<\/li><li>Whether the appointee\nis a non resident, as provided in part one of schedule 5<\/li><li>Whether prior\napproval for the appointment of such a person has been obtained from the\nmembers in a general meeting, the date on when the resolution was passed, the\nspecial resolution number with respect to Form number MGT-14 for filing a\nspecial resolution, special resolution number for obtaining the approval from\nthe central government (if applicable)<\/li><li>whether the person\nbeing appointed has been disqualified under section 164 of the Companies Act of\n2013 for appointment of directors and details with respect to the\ndisqualification.<\/li><\/ul>\n\n\n\n<p><strong>Attachments\nwhich are required to be submitted along with form number MR.1<\/strong><\/p>\n\n\n\n<p><strong>T<\/strong>he\nbelow mentioned are attachments which are required to be submitted along with\nform number MR.1:<\/p>\n\n\n\n<ul><li>Copy of the board\nresolution<\/li><li>Copy of the\ncertificate by the nomination and remuneration committee of the company certifying\nthat provided is in accordance with the remuneration policy of the company.<\/li><li>any other optional\nattachment<\/li><\/ul>\n\n\n\n<p>In\nthe previous version of Form number MR.1, a letter of consent of the\nappointment from the whole time director or manager or the managing director\nwas also required. However, this requirement has been removed from the amended\nform.<\/p>\n\n\n\n<p>The\nform is also required to be digitally signed by either the director or manager\nor CEO or CFO, or company secretary, along with the declaration that the board\nof directors has appointed such person to sign the form, to declare that all\nthe requirements under the Companies Act of 2013 and Companies (Appointment and Remuneration of Managerial\nPersonnel) Rules of 2014 have accurately been\nmet with and that all the information provided under the form is accurate,\ngenuine and complete and no material information in relation to this form has\nbeen suppressed.<\/p>\n\n\n\n<p>The\nform is also required to be certified by a cost accountant in practice or a\ncompany secretary, or a chartered accountant in practice. Such person shall declare\nthat she has been duly appointed to certify this form and that she has gone\nthrough the contents of the form, and that all the requirements under the\nCompanies Act of 2013 and Companies (Appointment and Remuneration of Managerial Personnel) Rules,\n2014 have sufficiently been met with and\nthat all the information provided under the form is accurate, genuine and\ncomplete and no material information in relation to this form has been\nsuppressed.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"What_is_Form_Number_MR2_%E2%80%93_Companies_Appointment_and_Remuneration_of_Managerial_Personnel_Amendment_Rules_of_2023\"><\/span>What is Form\nNumber MR.2? &#8211; Companies (Appointment and Remuneration of Managerial Personnel)\nAmendment Rules of 2023<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>Form number MR.2 is titled \u201cform of\napplication to central government for the approval of appointment of managing\ndirector\/whole time director\/manager\u201d. The law governing Form number MR.2 is Schedule\nV and Section 196 of the Companies Act of 2013 and Rule 7 of the\nCompanies (Appointment and\nRemuneration of Managerial Personnel) Rules of 2014.<\/p>\n\n\n\n<p>Section\n196 of the Companies Act of 2013 deals with the appointment of a managing\ndirector, manager or whole time director of the company. Section 196 (4) states\nthat the managing director, manager or whole time director of the company shall\nbe appointed the terms and conditions with respect to appointment, and the\nremuneration payable shall be approved by the board of directors to add a\nmeeting which shall require approval through a resolution passed a general\nmeeting of the company. The approval of the central government if the\nappointment made is at variance with the conditions which have been specified\nin part one of schedule 5. Part 1 of Schedule 5 provides for the conditions\nwhich are required to be fulfilled while appointing a managing director or the\nwhole time director or a manager without the prior approval of the central\ngovernment.<\/p>\n\n\n\n<p>Rule\n7 of the Companies (Appointment and Remuneration of Managerial\nPersonnel) Rules of 2014 states that any\napplication made to the central government under chapter 13 shall be made under\nForm number MR.2 longer prescribed fee. Every such application shall be made by\nthe Central Government before the expiry of 90 days from the date of the\nappointment.<\/p>\n\n\n\n<p>Form\nnumber MR.2 is filed to seek the approval of the central government when a managing\ndirector or a manager or whole time director has been appointed without\ncompliance with the conditions mentioned under Part one of Schedule 5 to the\nCompanies Act of 2013. <\/p>\n\n\n\n<p>It\nis also filed when a person older than 70 years of age is appointed as either\nthe managing director or a manager or whole time director without passing a\nspecial resolution as mandated under Section 197 of the Companies Act of 2013. Section\n197 states that the person employed as a manager or managing director, or whole\ntime director shall not be older than 70 years of age. However, the proviso to\nthe Section mentions that a person older than 70 years of age may be appointed so\nby passing a special resolution. If a special resolution, as discussed above,\nis not passed but votes in favour of appointing such a person surpass the\nnumber of votes against such appointment, then this form can be filed to obtain\nthe approval of the central government, after which such appointment shall be\nmade. <\/p>\n\n\n\n<p><strong>Details\nto be filled in the amended form number MR.2<\/strong><\/p>\n\n\n\n<p>The\nbelow mentioned are the details which are required to be filed under Form MR.2:<\/p>\n\n\n\n<ul><li>Details of the entity\nlike the name of the company, address of the company&#8217;s registered office, email\nID of the company, whether such company is a public company or the subsidiary of\none, whether the company is a listed company, the number of stock exchanges on\nwhich it has been listed, name of the Stock Exchange<\/li><li>The reason behind the\nform being filed: whether the form is being filed to seek the approval of the Central\nGovernment in cases when the appointment is not in compliance with Part one of\nSchedule 5 or the age of the person being appointed is more than 70 years, and\nno special resolution has been passed in this regard, or the person is a non\nresident.<\/li><li>Details of the key\nmanagerial personnel or the KMP: particulars of the person proposed appointee\nwith respect to whom the application is being filed, including the name of such\nperson, director identification number DIN the person being appointed as a\ndirector or the PAN or the membership number and designation of such person,\nfather&#8217;s name, nationality, educational and professional qualifications of the proposed\nappointee or the person for whom the application is being filed along with a\nbrief profile, post qualification experience in years and months.<\/li><li>The person being\nappointed is a foreign citizen, then the person&#8217;s country of origin, passport\nnumber, the validity of the passport and occupation of such person.<\/li><li>Selecting the statutes\nmentioned in Part one Schedule 5 of the Companies Act of 2013, which the\nappointment hasn&#8217;t been in compliance with, along with the Section and the\nstatute under which the person being appointed was convicted or detained<\/li><li>whether the person\nbeing appointed suffers from any disqualification under Section 164 of the\nCompanies Act of 2013 for appointment of directors and details with respect to\nthe disqualification.<\/li><li>Details pertaining to\nthe acts which have been committed by the person being appointed due to which the\nqualification occurred and the justification for such appointment.<\/li><li>the date on which the\nresolution was passed by the board of directors<\/li><li>, the special resolution\nnumber with respect to form number MGT-14 <\/li><li>The date on which the\nresolution was passed by the remuneration hand nomination committee<\/li><li>details of any\napplication that may be pending before the National Company Law Tribunal or the\nNational Company Law Appellate Tribunal under the Insolvency and Bankruptcy\nCode of 2016.<\/li><\/ul>\n\n\n\n<p><strong>Attachments\nwhich are required to be submitted along with form number MR.2<\/strong><\/p>\n\n\n\n<p>Below\nmentioned are the attachments which are required to be submitted along with\nform number MR.2:<\/p>\n\n\n\n<ul><li>A certified copy of\nthe resolution, along with its minutes, passed by the nomination and\nremuneration committee. Details regarding the composition of the committee,\nincluding the name and designation of the chairman and each member, shall also\nbe provided.<\/li><li>Certified copy of the\nResolution in support of the proposal passed by the board of directors<\/li><li>Copy of the notices\npublished in a daily newspaper in the English language and a daily newspaper in\nthe vernacular language of the district where the company&#8217;s registered office\nis situated in accordance with section 201 (2) of the Companies Act of 2013<\/li><li>if the person being\nappointed is a foreign national, then the certified copy of the employment visa\/PIO\ncard\/ OCI, along with the passport for the period of her tenure in India.<\/li><li>copy of any earlier rejections\nor approval from the central government obtained in &nbsp;the last three years<\/li><li>Certified copy of the\nresolution, which has been passed by the shareholders of the company in support\nof the proposal and requisite notices which were sent, an explanatory statement\nin accordance with Section 102 of the Companies Act of 2013.<\/li><li>If the Company\ngeneral meeting was not convened by providing 21 day notice either in\nelectronic mode or in writing, then a certified copy of the consent for\nconvening general meetings on short notice as provided under section 101 and\nsection 136 of the Companies Act of 2013 A list of the company\u2019s shareholders<\/li><li>An auditors\ncertificate in accordance with section 164(2) of the Companies Act of 2013<\/li><li>any other optional\nattachment<\/li><\/ul>\n\n\n\n<p>In\nthe previous version of Form number MR.1, a letter of consent of the\nappointment from the whole time director or manager or the managing director\nwas also required. However, this requirement has been removed from the amended\nform.<\/p>\n\n\n\n<p>The\nform is required to be certified by a chartered accountant in practice cost\naccountant in practice, or a company secretary in practice. Such person shall declare\nthat she has been duly appointed to certify this form and that the nomination\nand remuneration committee agent compliance with the provisions of Section 178 (1),\n(2), (3) and (4) of the Companies Act out 2013, compliance with Section 196 and\nSection 203 (3) of the Companies Act of 2013. In case it is a listed company,\nthen compliance with the SEBI (LODR) regulation of 2015 in accordance with\ncirculars issued by SEBI from time to time.<\/p>\n\n\n\n<p>The form is also required to be digitally signed by either the director or manager or CEO or CFO, or company secretary, along with the declaration that such person has been appointed by the board of directors to sign the form, to declare that all the requirements under the <strong>Companies Act of 2013<\/strong><sup><a href=\"https:\/\/en.wikipedia.org\/wiki\/Companies_Act_2013\"><strong>[1]<\/strong><\/a><\/sup> and Companies (Appointment and Remuneration of Managerial Personnel) Rules of 2014 have sufficiently been met with and that all the information provided under the form are true, genuine and complete and no material information in relation to this form has been suppressed.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Conclusion\"><\/span>Conclusion<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>The MCA recently notified the Companies (Appointment and Remuneration of Managerial Personnel) Amendment Rules of 2023 to amend the Companies (Appointment and Remuneration of Managerial Personnel) Rules, 2014, and the amendment shall be effective from 23 January 2023. The Companies (Appointment and Remuneration of Managerial Personnel) Amendment Rules, 2023 modified Form number MR.1 and Form number MR.2.
