It is governed by the LLP Act or <strong>Limited Liability\nPartnership Act, 2008<\/strong><sup><a class=\"text-primary\" href=\"https:\/\/en.wikipedia.org\/wiki\/The_Limited_Liability_Partnership_Act,_2008\"><strong>[1]<\/strong><\/a><\/sup>. Just like a partnership, an LLP is formed by\ntwo or more partners. However, like a Company, an LLP is a separate legal\nentity separate from its partners and can own property, sue, or be sued in its\nname. The liability of the partners does not extend to their personal assets\nbut is limited up to the extent of the contribution made by the partners to the\nLLP. There can be many such acts committed by a partner, mutually agreed\nto by the partners, on which a partner can be removed by voting:<\/p>\n\n\n\n<ol><li>Negligence\nof a gross nature in the conduct of the business of the LLP.<\/li><li>Fraud\ncommitted by the partner in the conduct of the business of the LLP.<\/li><li>Inability\nto perform obligations as provided in the LLP agreement.<\/li><li>Breach\nof trust<\/li><li>Breach\nof financial data<\/li><li>Commission\nof an act which is prohibited by law<\/li><\/ol>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Resignation_by_a_Partner_from_an_LLP\"><\/span>Resignation by a Partner from an LLP<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>A partner of an LLP wishing may tender her\nresignation in tune with the procedure provided for in the LLP agreement. If\nthe same is not provided for, the partner ought to inform the other partners and\nthe LLP by notice in writing of at least thirty days, informing them of her\nintention to resign.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Steps_involved_in_the_Removal_or_Resignation_of_Partner_from_an_LLP\"><\/span>Steps involved in the Removal or Resignation\nof Partner from an LLP<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>The following are the steps involved\nin the Removal or Resignation of Partner from an LLP:<\/p>\n\n\n\n<ul><li><strong>Pass a resolution to remove or accept the resignation:<\/strong><\/li><\/ul>\n\n\n\n<p>In case of resignation, once the resignation\nletter has been submitted to the existing partners of the LLP or after notice\nas to the removal of the partner has been given, a resolution shall be passed where\nthe remaining partners shall provide their consent to the removal or\nresignation. A resolution shall be passed authorizing an existing partner to represent\nthe LLP in any proceeding regarding the removal\/resignation. The authorized\npartner should have a valid Director Identification Number (DIN) and Digital\nSignature Certificate (DSC).<\/p>\n\n\n\n<ul><li><strong>Amendments\nto the LLP Agreement<\/strong><\/li><\/ul>\n\n\n\n<p>When a partner resigns or is removed, an\namendment to the LLP agreement to that effect must be made and a supplementary\nagreement must be executed giving information as to, inter alia, the name of\nthe partner, effective date, reasons, and other relevant information related to\nthe removal or resignation. The same needs to be signed by the remaining and\nexisting partners and executed in accordance with the law. The outgoing partner\nshall be provided with a relieving letter.<\/p>\n\n\n\n<ul><li><strong>Filing\nof Form 3 and Form 4<\/strong><\/li><\/ul>\n\n\n\n<p>Form-3 (to amend the existing LLP agreement) and\nForm-4 (to notify the change\/removal\/resignation of partners) is to be filed\nwith the MCA within thirty days of resignation or removal of the partner and\nthe same must be certified by a Chartered Accountant\/a Company Secretary. <\/p>\n\n\n\n<p>Form-4 must be submitted with certain\nattachments like the notice of removal\/resignation, consent of the existing partners,\nresolutions passed, and evidence of removal resignation. Form -3 must be filed\nalong with the existing LLP agreement and supplementary or amended agreement.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Rights_Liabilities_of_an_Outgoing_Partner_on_Removal_or_Resignation_of_Partner_from_an_LLP\"><\/span>Rights &amp; Liabilities of an Outgoing\nPartner on Removal or Resignation of Partner from an LLP<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>Following\nare the rights and liabilities of an outgoing Partner on Removal or Resignation\nof Partner from an LLP:<\/p>\n\n\n\n<ul><li>The\noutgoing partner is entitled to a share in the profits of the LLP in proportion\nto the said partner\u2019s capital contribution after deducting the losses, if any.<\/li><li>The\namount equivalent to the capital contribution made by such a partner.<\/li><li>The\noutgoing partner will be liable as for losses incurred during her time as a\npartner before her removal or resignation and such removal or resignation of\nPartner from an LLP shall not cause the partner to escape such liability.<\/li><\/ul>\n\n\n\n<p><strong>Note: The partner can also choose to surrender the rights in the profits of the LLP in favour of other partners.<\/strong><\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Conclusion\"><\/span>Conclusion<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>In the event of removal or resignation of partner from an LLP, either the procedure mentioned in the LLP agreement must be followed and it is imperative to notify the MCA and file the necessary forms, amended LLP agreement and other attachments regarding such removal or resignation and as to the new structure of the LLP, within thirty days of such removal or resignation of Partner from an LLP.<\/p>\n\n\n\n<p class=\"text-left\"><b>Read Our Article<\/b>:<mark style=\"background: #fffd03 !important;\"><a href=\"https:\/\/corpbiz.io\/learning\/amendment-in-llp-agreement-rights-and-duties-of-partners\/\">What is Amendment in LLP Agreement: Rights and Duties of Partners<\/a><\/mark><\/p>\n","protected":false},"excerpt":{"rendered":"<p>A Limited Liability Partnership (LLP) is a legal entity which has an amalgamation of characteristics pertaining to a Company and a Partnership.
