A company&#8217;s shares are easy to transfer. Still, there can also be certain restrictions imposed on Transfer of Shares in a Private Limited Company by the Articles of Association of the company. The transfer of shares involves the voluntary transferring of the rights and duties of a company member who no longer intends to be a member. Transfer of Shares is possible just like any other transfer of property unless the company&#8217;s articles restrict it. People who are involved in the process of Share Transfer are as follows-<\/p>\n\n\n\n<ul><li>Private Limited Company<\/li><li>Transferor <\/li><li>Transferee <\/li><li>Subscribers to the memorandum<\/li><\/ul>\n\n\n\n<p>A private\nlimited company is also considered a closed corporation of members, just like a\npartnership firm. The Transfer of Shares in a Private Limited Company can be\nrestricted by the Company&#8217;s Articles of Association or AoA. Therefore, it is\nessential to read the AoA thoroughly before initiating the transfer of shares. Usually,\nthe transfer of shares is restricted in two ways by the Articles of\nAssociation, which are discussed below- <\/p>\n\n\n\n<ul><li><strong>Rights of pre-emption-<\/strong> If a shareholder is willing to sell a few or all of his shares, they must be offered to the other members of private limited company at a price set by\u00a0 Auditor or Director of the company. The share value can be determined by the method or way mentioned in the AOA or Articles of Association of the company. If no existing members are willing to buy the shares, then they can be transferred to someone outside the company.<\/li><\/ul>\n\n\n\n<ul><li><strong>Director\u2019s power to restrict-<\/strong> The\nDirector of a private limited company can limit the registration of the Transfer\nof Shares under some situations mentioned in the Articles of Association or AoA\nof the company. Only the restrictions which are mentioned in the Articles of\nAssociation are considered legally valid. Any private agreement between the\nshareholders is not honestly good for the company or shareholders. Only\nArticles of Association can restrict the Transfer of Shares in a Private\nLimited Company.<\/li><\/ul>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Documents_Required_For_Transfer_of_Shares_in_Private_Limited_Company\"><\/span><strong>Documents Required\nFor <\/strong><strong>Transfer\nof Shares in Private Limited Company<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<ul><li>Share certificate<\/li><li>Board resolution for verifying\nthe Transferor&#8217;s notice <\/li><li>Transferor&#8217;s notice to the\ncompany<\/li><li>Offer letter sent <\/li><li>Objection letter from the\nexisting shareholders<\/li><li>Share transfer agreement form\nalong with the stamp duty returned<\/li><li>Board decision for transfer of\nshares<\/li><\/ul>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Procedure_for_Transfer_of_Shares_in_Private_Limited_Company\"><\/span><strong>Procedure for\u00a0Transfer of Shares in Private Limited Company<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>To initiate the\nprocedure of Transfer of Shares in\nPrivate Limited Company, the following steps must be followed<strong>&#8211; <\/strong><\/p>\n\n\n\n<ol><li>The Articles of Association or\nAOA must be reviewed before initiating the Transfer of Shares, and any\nrestrictions mentioned must be identified. <\/li><li>The Shareholders are required\nto submit a notice to the directors in writing. The notice must include\ninformation regarding the intention of the share transfer. <\/li><li>The share transfer price must\nbe identified as per the Articles of Association. The shares are first offered\nto the company&#8217;s existing shareholders as per the given price. <\/li><li>The company&#8217;s existing shareholders\nare informed about the shares available for sale, the last date of purchase and\nthe prices at which the shares are made available for sale. If any existing\nshareholders are interested in the purchase, the shares are sold to them. If no\nexisting shareholders are interested in the purchase or extra shares are\navailable, then they are made available to people outside the company. <\/li><\/ol>\n\n\n\n<p><strong>To proceed with the Transfer of Shares in Private Limited Company, following steps are\nfollowed- <\/strong><\/p>\n\n\n\n<ol><li>The share transfer deed must be\nobtained in the directed form.<\/li><li>The share transfer agreement\nmust be completed properly and should be approved by the Transferor and the\ntransferee.<\/li><li>The the share transfer\nagreement must be stamped according to the stamp act &amp; stamp work\ninformation in force in the State.<\/li><li>The Transferor must take a\nwitness signature in the share transfer agreement with their name, sign, and\naddress.<\/li><li>The share certificate or\nallotment letter must be attached to the transfer deed and given to the\ncompany.<\/li><li>The company verifies and checks\nthe documents and if approved, a new share certificate is issued in the transferee&#8217;s\nname.<\/li><\/ol>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Conclusion\"><\/span><strong>Conclusion <\/strong><span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>Transfer of Shares in a <strong><a class=\"text-primary\" href=\"https:\/\/corpbiz.io\/company-registration\">Private Limited Company<\/a><\/strong> is done when one person transfers ownership of them to another. It might be a current employee or someone from the outside. The Companies Act of 2013, Section 44, further states that shares are movable property that may be transferred subject to the company&#8217;s AOA (Article of Association). Only when the company registers the transfer, the share transfer procedure will be done.\u00a0 The company must provide the share certificate within one month of registration, to the transferee.\u00a0 The transfer of shares in a private limited company is entirely done by following the norms made in AOA.
