This type of structure is known\nas a company limited by shares.<\/p>\n\n\n\n<p>The shareholders must discharge the company\u2019s debts only to the extent\nthat is unpaid on their shares, and no tangible asset can be utilized to fulfil\nthe debt. Such a company shall divide the share capital into fixed shares\namount that can then be provided to shareholders. Such allocation of shares\nallows them to become the company owners.<\/p>\n\n\n\n<p>A company limited by shares has ample funding options, including loans,\nequity, and grants.&nbsp;<\/p>\n\n\n\n<p>A company limited by shares is broadly categorized into two major\ntypes:&nbsp;<\/p>\n\n\n\n<ul><li>Limited  Company by Guarantee: The shareholding concept does not exist in such a  company. The limited company by Guarantee comprises members who make small  amounts to discharge the outstanding debt in case the liquidation.\u00a0<\/li><li>Public Limited Company: Such companies are typically listed on stock exchanges. The extent of liability of a shareholder of a <a href=\"https:\/\/corpbiz.io\/public-limited-company-registration\"><strong>public limited company<\/strong><\/a> is limited to their shareholding amount.\u00a0<\/li><\/ul>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Key_Facts_around_the_Company_Limited_by_Shares\"><\/span>Key\nFacts around the Company Limited by Shares<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<ul><li>The\ncompany&#8217;s ownership is limited by shares and includes the members of the public\ndomain. Any individual from the public domain can acquire a share in the\ncompany by purchasing via the stock exchange.<\/li><li>The\nliability of the company&#8217;s shareholders is limited to the nominal valuation of\nthe given shares. <\/li><li>Shareholders\nare not obligated to confront losses that tend to exceed the nominal value of\nthe shares. The company limited by shares is governed by the Ministry of\nCorporate Affairs and other regulators of their respective nations. <\/li><li>To\nstay compliant, the companies should also furnish periodical reports to the\ngoverning regulators and other concerned departments. <\/li><li>The\nreports must enclose financial statements, a statement from the BODs, and an\nauditor&#8217;s report.<\/li><li>A\ncompany limited by shares can operate as a public limited company or issue\nshares to the public domain to procure capital for serving business objectives.\n<\/li><li>Such\ncompanies have the leverage to procure funding from portfolio entities,\ninstitutional investors, and mutual funds. (Note: Portfolio Entity refers to a<strong>\ndirect investment company in which a fund of funds (FoFs) makes an investment<\/strong>)<\/li><li>Therefore,\nthe company can procure ample funding to serve various objectives, including\nexpansion and capacity building.<\/li><li>The\ncompany can discharge ongoing liabilities that exist in the form of debts,\nrestructure debts, perform R&amp;D, &amp; acquiring small or rival companies. <\/li><li>A\ncompany limited by shares is liable to hold an annual general meeting (AGM) of\nthe company&#8217;s shareholders. <\/li><li>The\ncompany should share the key financial documents and other key particulars\nbefore shareholders to secure their approval. <\/li><li>The\ncompany is liable to pass resolutions for bringing the meeting&#8217;s agenda into\neffect. <\/li><\/ul>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"What_is_the_nominal_value_of_shares\"><\/span>What\nis the nominal value of shares?<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>The nominal value of a share refers to\nthe face value of the share that a company assigns at the time of its issuance.\nThe mathematical expression for calculating the Nominal value of a share is\ngiven below: <\/p>\n\n\n\n<p><strong><em>The nominal value of a share = paid-up\nshare capital\/ number of shares outstanding till date.<\/em><\/strong><\/p>\n\n\n\n<p>In simple terminology, the Nominal value\nof a share refers to the share that stays around a specific value assigned by\nthe company during the issuance of a share. One can understand it as a minimum\nor exact valuation of a share. Simply put, the nominal value is an overall\nworth of a single share that an investor has to pay during its purchase. <\/p>\n\n\n\n<p>It is worth noting that the valuation of\nsuch shares remains static regardless of the market dynamics. However, the same\ncannot be said in the event of a stock split.<\/p>\n\n\n\n<p>The paid-up share capital in the above\nexpression denotes the money that has been paid in exchange for the company&#8217;s\nshares.<\/p>\n\n\n\n<p>On the other hand, the total no. of\nshares outstanding refers to a no. of shares issued to shareholders till the\ngiven date.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Conclusion\"><\/span>Conclusion<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>For the sake of transparency, a company limited by shares should make relevant disclosures relating to material events in their filing before concerned shareholders and the stock exchange.
