Registering your Company helps your entity grow its Market and\nexpand the business as the legally recognized companies are preferred in the\ncorporate world.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Types_of_Companies_under_Companies_Act_2013\"><\/span>Types of Companies under Companies Act, 2013<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>The word Companies represents any entity formed under the Companies Act,2013. Before discussing various types of Companies under the <strong>Companies Act,2013<\/strong><sup><a href=\"https:\/\/www.mca.gov.in\/content\/mca\/global\/en\/acts-rules\/ebooks.html\"><strong>[1]<\/strong><\/a><\/sup>, let&#8217;s look at the companies residing in India. The companies in India are classified based on the size, the number of members, Liabilities, and capital under the Companies Act, 2013. Let&#8217;s have a brief on the Type of Companies under the Companies Act, 2013-<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Types_of_Companies_Based_on_Number_of_Members\"><\/span>Types of Companies Based on Number of Members-<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<ul><li><strong>Private\nCompany&#8211; <\/strong>Section 2 (68)\nof the Companies Act 2013 defines a Private Company as a company that-<\/li><\/ul>\n\n\n\n<ol><li>Limits to transfer its shares and <\/li><li>It cannot have more than 200 members. <\/li><\/ol>\n\n\n\n<p>Further, the business arrangement\nprohibits the Private Company from inviting the general public to subscribe to\nits shares and securities.<\/p>\n\n\n\n<p>Common requirements for private company\nincorporation include; presence of two directors and inclusion of term\n&#8220;Private Ltd&#8221; at the last of the company\u2019s name. <\/p>\n\n\n\n<p><strong>Note -Earlier, there were criteria for\nthe minimum capital requirement. But as per the Companies (Amendment) Act 2015,\nthere is no need to have any minimum amount for obtaining Private Limited\nCompany Registration.<\/strong><\/p>\n\n\n\n<ul><li><strong>Public\nCompany<\/strong>&#8211;Section 2 (71)\nof the Companies Act 2013 defines a Public Company as a company that is not a\nprivate company. In addition, the main characteristics of a public limited\ncompany are that-<\/li><li>The shares and debentures are issued to\nthe public and are transferable.<\/li><li>Are capable of being listed on the\nrecognized stock exchange.<\/li><\/ul>\n\n\n\n<p><strong>Note -A private limited company\nsubsidiary to a public company will be termed a public limited company only.<\/strong><\/p>\n\n\n\n<ul><li><strong>One\nPerson companies-<\/strong>\nSection 2(62) of the Companies Act,2013 defines One Person Company as requiring\nonly one person as its member and needs only one person as its director.<\/li><\/ul>\n\n\n\n<p>One of the distinctive features of a One\nPerson Company is that it separates it from other company structures under the\nCompanies Act 2013. Under OPC, the Company&#8217;s sole member needs to mention a\nnominee during Company incorporation process. The reason behind it is that\nsince there is only one member in an OPC, so after his\/ her demise, the person\nnominated will become the sole member. But, it is worth noting that the same\ndoes not happen in other types of Companies as they adhere to the concept of\nperpetual succession.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Types_of_Company_Based_on_Legislation\"><\/span>Types of Company Based on Legislation<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p><strong>I. Statutory Companies:<\/strong> Statutory companies are set up following a specific law passed by the central or local authorities and fall under the provisions of the respective laws.<\/p>\n\n\n\n<p><strong>II. Registered Companies:<\/strong> Registered Companies are the companies usually employed by local and foreign investors as they fall under the governance of the Company Law of 2013. These are categorized as-<\/p>\n\n\n\n<ul><li>C<strong>ompany\nlimited by shares, <\/strong><\/li><li><strong>Company\nlimited by guarantee, and <\/strong><\/li><li><strong>Unlimited\ncompany<\/strong><\/li><\/ul>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Types_of_Companies_Based_on_Liability\"><\/span>Types of Companies Based on Liability<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p><strong>I<\/strong>. <strong>Unlimited Company-<\/strong> Unlimited company is a company having total liability on its members. In Unlimited Company, the members are liable for undertaking the Company&#8217;s debts in proportion to their individual interests, and their liability is unlimited.<\/p>\n\n\n\n<p><strong>II.<\/strong> <strong>Company limited by share-<\/strong> A company limited by shares refers to a company having the liability of its shareholders as prescribed by the MOA to the amount, if any, outstanding on the shares proportionately held by them.<\/p>\n\n\n\n<p><strong>III.<\/strong> <strong>Company limited by Guarantee<\/strong>&#8211; A company limited by guarantee is a company with no shareholders .A company is owned by its members who agrees to pay a nominal amount in the occurrence of company&#8217;s being wound up.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Types of Company Based on\nDomicile<\/h3>\n\n\n\n<p><strong>I. Indian Company<\/strong>-Section 2(20) of the Companies Act,2013 defines an Indian Company as a company incorporated as per Companies Act, 2013 or under any other previous law.<\/p>\n\n\n\n<p><strong>II.<\/strong> <strong>Foreign Company-<\/strong> Section 2 (42) of the Companies Act 2013 defines a Foreign Company as a Company incorporated outside India but has a place of business in India either by itself or through its designated agent.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Various_other_types_of_companies_registered_under_the_Companies_Act2013\"><\/span>Various other types of companies registered under the Companies Act,2013<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p><strong>I.<\/strong> <strong>Section 8 Company-<\/strong> Section 8 companies, indicate a company that is incorporated under section 8 of the Companies Act 2013. Section 8 companies are known as NPOs(Non-Profit Organizations). Section 8 company holds a valid license from the Central Government. It works to promote <strong>commerce, art, sports, science, social welfare, education, research, religion, environment protection, charity, or any other object.<\/strong><\/p>\n\n\n\n<p><strong>II. Small Company &#8211;<\/strong>Section 2 (85) of the Companies Act 2013 defines a Small Company as a company other than a public limited company. To be in the category of Small Company, the paid-up capital, and an annual turnover of the Company must be less than Rs 50 Lakhs and Rs 2 Crores, respectively.<\/p>\n\n\n\n<p>However, it shall be prudent to note that\nno clause of a small company shall apply to the entities as follows:<\/p>\n\n\n\n<ul><li>Holding\nCompany,<\/li><li>Subsidiary\nCompany,<\/li><li>Section\n8 of the Companies Act 2013,<\/li><\/ul>\n\n\n\n<p>A company that is administered by any\nparticular act;<\/p>\n\n\n\n<p><strong>Note:<\/strong> A small company enjoys all the benefits and exemptions\nprovided under the provisions of the Companies Act.<\/p>\n\n\n\n<p><strong>III. Dormant Company-<\/strong>The Dormant Company means a company\nincorporated under section 455 of the Companies Act 2013 for some future\nproject, business transactions, some property and asset, and the same has no\nsignificant accounting transaction. Therefore, such inactive company members\nwill furnish an application to the Registrar to declare that Company dormant.<\/p>\n\n\n\n<p><strong>Note-A company can get the status of <\/strong><a href=\"https:\/\/corpbiz.io\/learning\/conversion-of-dormant-company-into-active-company\/\"><strong>Dormant Company<\/strong><\/a><strong> if the Company has not furnished its annual return for a period of two years.<\/strong><\/p>\n\n\n\n<p><strong>IV.<\/strong> <strong>Producer Company-<\/strong> Section 465(1) of the Companies Act 2013 deals with the Producer Company. It means a legally recognized body of agriculturists and farmers that aim to provide the following:<\/p>\n\n\n\n<ul><li>Provide\nGood Status to Members.<\/li><li>Provide\nSupport, Income, and Profitability to its Members,<\/li><li>Standardized\nthe of Living for Members.<\/li><\/ul>\n\n\n\n<p>Also, the members of a producer company\nmust mandatorily be a primary producer in nature.<\/p>\n\n\n\n<p><strong>V. Associate Company<\/strong> -Section 2 (6) of the Companies Act 2013 defines an Associate Company as a company in which some other entity has a substantial influence. However, the Associate company is not similar as a subsidiary company.
