One of the core functions of such a society is to administer &amp; regulate the grant of licenses and collections of royalties relating to the works on the owner&#8217;s behalf. <\/p>\n\n\n\n<p>No individual or group shall be involved\nwith said undertaking without being registered as a society under the provision\nof the prevailing Copyright Act. At the same time, that same does not restrain\nthe owner in his\/her capacity for doing the same.<\/p>\n\n\n\n<p>As the name suggests, a copyright society\nrefers to a collective society which is established u\/s 33 of the Copyright\nAct, 1957 and is, as cited above, set up authors\/creators &amp; other holders\nof such copyrights &amp; is registered under the Central Government.<\/p>\n\n\n\n<p>As per the <strong>Copyright Act, 1957<\/strong><sup><a href=\"https:\/\/copyright.gov.in\/documents\/copyrightrules1957.pdf\"><strong>[1]<\/strong><\/a><\/sup>, at least seven members are required to set up a copyright society in India. appointment of an Administrator<\/a><\/li><li class='ez-toc-page-1 ez-toc-heading-level-2'><a class=\"ez-toc-link ez-toc-heading-5\" href=\"https:\/\/corpbiz.io\/learning\/copyright-society-registration\/#Cancellation_of_a_copyright_society_Registration\" >Cancellation of a copyright society Registration<\/a><\/li><li class='ez-toc-page-1 ez-toc-heading-level-2'><a class=\"ez-toc-link ez-toc-heading-6\" href=\"https:\/\/corpbiz.io\/learning\/copyright-society-registration\/#Management_of_Copyright_Society\" >Management of Copyright Society<\/a><\/li><li class='ez-toc-page-1 ez-toc-heading-level-2'><a class=\"ez-toc-link ez-toc-heading-7\" href=\"https:\/\/corpbiz.io\/learning\/copyright-society-registration\/#Records_to_be_Handled_by_Copyright_Societies\" >Records to be Handled by Copyright Societies<\/a><\/li><li class='ez-toc-page-1 ez-toc-heading-level-2'><a class=\"ez-toc-link ez-toc-heading-8\" href=\"https:\/\/corpbiz.io\/learning\/copyright-society-registration\/#Returns_to_be_Filed_by_the_Societies_with_the_RoC\" >Returns to be Filed by the Societies with the RoC<\/a><\/li><li class='ez-toc-page-1 ez-toc-heading-level-2'><a class=\"ez-toc-link ez-toc-heading-9\" href=\"https:\/\/corpbiz.io\/learning\/copyright-society-registration\/#Conclusion\" >Conclusion<\/a><\/li><\/ul><\/nav><\/div>\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Process_for_Registering_Copyright_Society_in_India\"><\/span>Process for Registering Copyright Society in India<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>The following is the detailed process for\nregistering a copyright society in India:<\/p>\n\n\n\n<p>Any group of individuals, comprising\nseven or more authors or copyright&#8217;s owners set up to conduct business related\nto the grant or issuance of the license relating to any class of works for\nwhich it is registering may furnish an application to the Registrar of\nCopyrights on Form VIII.<\/p>\n\n\n\n<p><strong><em>Form VIII should be accompanied by the\nfollowing documents. <\/em><\/strong><\/p>\n\n\n\n<ul><li>An\noriginal application&#8217;s copy by which the applicant is incorporated or\nestablished<\/li><li>Permission\nof all the members enlisted in the application form to serve as members of the\nGoverning body of the application,<\/li><li>A\ndeclaration comprising the applicant&#8217;s objectives, the bodies through which it\nshall perform its undertakings, and arrangement for auditing and accounting<\/li><li>An\nundertaking declaring that the instrument is set up or incorporated ensures the\nsame to the Act&#8217;s provisions and these rules.<\/li><\/ul>\n\n\n\n<p>The registration timeline for a copyright\nsociety is for five years, which may be re-registered on a timely basis before\nthe completion of said tenure via application filing with RoC under Form IX.\nBut, discretion rests on the Government to re-register or renew the\nregistration after considering the RoC&#8217;s report on the working of the copyright\nsociety under Section 36.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Conditions_about_Application_Submission_of_Copyright_Society\"><\/span>Conditions about Application Submission of Copyright Society<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>(1) Any group of individuals, having an\nautonomous legal status, backed by seven or more authors &amp; other\ncopyright&#8217;s owners (technically referred to as &#8220;the applicant&#8221;) setup\nfor carrying the undertaking of granting licenses relating to rights or set of\nrights in particular categories of works may file with RoC an application in\nForm VIII for submission to the Central Government for availing authorization\nto carry on such business affairs and for its registration as a copyright\nsociety.<\/p>\n\n\n\n<p>The Central Government may confer society\nregistration for five years under sub-section (3A) of section 33.<\/p>\n\n\n\n<p>An application for <strong><a href=\"https:\/\/corpbiz.io\/society-registration\">society registration<\/a><\/strong> under sub-rule (1) of rule 44 shall enclose the signature of Chairman, all other members serving Governing Council with such number of individuals elected from the Society&#8217;s members comprising equal no. of authors and other holders of right, if any, for the management of the copyright society and the Chief Executive Officer (CEO) of the applicant (who need not be a member).<\/p>\n\n\n\n<p>The business relating to the grant of\nlicense in respect of dramatic, literary, artistic, and musical work\nincorporated in a sound recording or cinematograph film shall be performed only\nvia a copyright society operating u\/s 33 of the Act.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Conditions_relating_to_the_grant_of_permission_to_engage_with_copyright_business\"><\/span>Conditions relating to the grant of permission to engage with copyright\nbusiness<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p><strong><em>(1) An applicant referred to in rule 44\nfor registration of it as a copyright society shall not be eligible to be considered\nfor such registration unless\u2014<\/em><\/strong><\/p>\n\n\n\n<p>(i) the instrument via which the\napplicant is incorporated or established creates a commitment on it to engage\nwith the business of issuing license relating to a right or set of rights in\nthe particular regime of works and other undertakings ancillary thereto; and<\/p>\n\n\n\n<p>(ii) the applicant is willing to comply\nwith the provisions of the Act and the Rules made thereunder.<\/p>\n\n\n\n<p><strong>(2)<\/strong> the applicant shall not conduct the business via transferring the rights of collection &amp; royalty&#8217;s distribution relating to a right or set of rights in the particular regime of works to any other individual or copyright society:<\/p>\n\n\n\n<p>Provided that said applicant might enter\ninto an agreement with any overseas society managing rights corresponding to\nthe right or set of rights managed by the applicant to entrust to such Society\nthe management of any overseas nation of the right or set of rights managed by\nthe applicant, or for managing in India the rights-managed in an overseas\nnation by such overseas Society under sub-section (2) of section 34 of the Act.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Order_of_Inquiry_Registration_Suspension_appointment_of_an_Administrator\"><\/span>Order of Inquiry, Registration Suspension, &amp; appointment of an Administrator<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>(1) If the Central Government, in a\ncomplaint of the RoC or a member of copyright society, has a legitimate reason\nthat the copyright society is being administered in a way detrimental to the\nmembers&#8217; interest or for non-compliance of guidelines u\/s 33A, subsection (3)\nof section 35 &amp; section 36 of the Act or any alteration made in the\ninstrument by which the Society is incorporated or set up and registered by the\nCentral Government, without prior notification to it shall render a compliant\ncopy to the Society and prompt the Society to furnish a statement within 15\nworking days.<\/p>\n\n\n\n<p>(2) if, post consideration of the\nstatement provided by the Society, the Central Government is prima facie\nsatisfied:-<\/p>\n\n\n\n<p>(a) it shall order an inquiry under\nsub-section (4) of section 33 into the charges and appoint a designated\nofficer, not below the rank of Deputy Secretary to the GOI for holding an\ninquiry. During such inquiry, if the Central Government observed that the\nmember&#8217;s interest had been hampered, it may suspend the registration for a\nduration not surpassing one year, and shall appoint a designated manager to\naddress the undertaking of the copyright society; or<\/p>\n\n\n\n<p>(b) In view of the above, it may render\nthe order of suspension of such a society for a duration not surpassing one\nyear and appoint an official to deal with the undertaking of the copyright\nsociety and further release order for inquiry as per clause (a).<\/p>\n\n\n\n<p>(3) The said official shall be an\nindividual with adequate experience in the field of management or accounting of\ncopyright matters.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Cancellation_of_a_copyright_society_Registration\"><\/span>Cancellation of a copyright society Registration<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>The registration of Society as such may\nbe revoked by the government post granting the copyright society an opportunity\nof being heard, if \u2014<\/p>\n\n\n\n<p>(a) any of the detail enlisted in the\nregistration application is, at any time, found to be invalid or misleading in\nany way; or<\/p>\n\n\n\n<p>(b) post holding an inquiry by the said\nofficial, the Government is satisfied that-<\/p>\n\n\n\n<ul><li>the Society failed to ensure co-ordination with the inquiry official; or<\/li><li>the grievances against the Society are found to be legitimate; or<\/li><li>the copyright society is being handled in a way detrimental to the member&#8217;s interest; or<\/li><li>the Society continually fails to discharge its undertaking aptly; or<\/li><li>the Society failed to allocate the royalties in accordance with the scheme; or <\/li><li>the copyright society continually fails to ensure apt maintenance of its account; or<\/li><li>the Society leverages its funding for purposes other than those cited in the instrument; or<\/li><\/ul>\n\n\n\n<p>(c) the registered Society has not\nensured adherence with-<\/p>\n\n\n\n<ul><li>section 33A of the Act relating to the publication of Tariff scheme by the Society; or<\/li><li>sub-section 3 of section 35 relating to the equal representation of authors and other owners of copyrights in the Governing Council as cited in rule 44; or<\/li><li>section 36 of the Act relating to the returns and reports submitted to the RoC by copyright society; or<\/li><li>the procedure for securing the consent of authors &amp; other owners of right for accumulation and allotment of royalty; or<\/li><li>the Society is granting license relating to the right or set of rights in the particular regime of works for which it is not registered<\/li><\/ul>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Management_of_Copyright_Society\"><\/span>Management of Copyright Society<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p><strong><em>(1) every copyright society must\nconstitute management backed by- <\/em><\/strong><\/p>\n\n\n\n<p>(a) General Body comprising all the\nauthors and other copyright owners or set of rights in a particular regime for\nwhich the Society has been registered to grant licenses;<\/p>\n\n\n\n<p>(b) A Governing council backed by a\nChairman &amp; at least six other members; &amp;<\/p>\n\n\n\n<p>(c) A CEO (who may or may not be a\nserving member of the copyright society)<\/p>\n\n\n\n<p>(2) The General Body shall take all the\nmajor decisions regarding Society&#8217;s business affairs. All the power required to\nadminister the Society shall be with the General body &amp; the Governing\nCouncil may function in accordance with the directions laid out by such a body.\n<\/p>\n\n\n\n<p>(3) The Chairman shall be appointed by\n2\/3rd of the majority of all the members through a voting session that must be\nheld at the General Body meeting of the Copyright Society.<\/p>\n\n\n\n<p>(4) The Governing Council&#8217;s Chairman\nshall chair the General Body.<\/p>\n\n\n\n<p>(5) The Chairman shall have the authority\nto vote in the Governing Council and the General Body.<\/p>\n\n\n\n<p>(6) The members of the Governing Council\nshall represent equally from authors &amp; other copyright owners, appointed\nfrom the General Body by the member&#8217;s majority present and voting in the\nGeneral Body meeting of the Society<\/p>\n\n\n\n<p>(7) The Chairman and other members\nserving Government Council shall be elected for two years. During this tenure,\nsuch members cannot be re-elected.<\/p>\n\n\n\n<p>(8) The General Body may underpin\nsub-committees for drafting Distribution Scheme, Tariff Scheme, Welfare Scheme,\n&amp; such other subject matter relating thereto, under the Governing Council&#8217;s\nsupervision.<\/p>\n\n\n\n<p>(9) The General body shall authenticate\nthe Society&#8217;s instruments, including any subsequent changes made to it.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Records_to_be_Handled_by_Copyright_Societies\"><\/span>Records to be Handled by Copyright Societies<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>Every Society shall administer the given\nregisters at its administrative office-<\/p>\n\n\n\n<p>(i) A register of authors &amp; other\ncopyright owners (known as &#8220;Register of Authors and Other Owners&#8221;)\nrelating to the right or the set of rights in the particular regime of works\nfor which the Society has been empowered to grant licenses. The register shall\nentail the authors as well as the owners&#8217; name, addresses, the nature of rights\nauthorized to be managed by the Society, year of work&#8217;s publication, the date\non which the Society become eligible to grant license, and the tenure of such\nentitlement, the scope for which the authorization has been granted and the\nrights that have been so granted;<\/p>\n\n\n\n<p>(ii) A register to be acknowledged as\n&#8220;Register of Agreements&#8221; enclosing a copy of all agreement entered\ninto by the Society with the authors &amp; other right owners of the purpose;<\/p>\n\n\n\n<p>(iii) A register to be acknowledged as\n&#8220;Register of Royalties&#8221; enclosing details of royalties and citing the\nname of individuals or entities and license agreements&#8217; copy from whom the\nroyalties have been realized, &amp; the sum so realized including realization&#8217;s\ndate;<\/p>\n\n\n\n<p>(iv) A register to be acknowledged as the\n&#8220;Disbursement Register&#8221; enclosing particular of royalties made to\neach author or right owner or set of rights in the particular regime of works,\nsystematically categorized, citing the author and other owner&#8217;s name, nature of\nthe right, and the date and sum of allotment of royalty made to him.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Returns_to_be_Filed_by_the_Societies_with_the_RoC\"><\/span>Returns to be Filed by the Societies with the RoC<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>Every Society shall file a return known\nas an annual return with the RoC within 1 month from the conclusion&#8217;s date of\neach AGM setting out the given particulars, viz:<\/p>\n\n\n\n<p>(i) The date of the AGM held promptly\npreceding the annual return&#8217;s filing, the no. of members who were present in\nthe meeting, agenda, and the minutes of such meeting;<\/p>\n\n\n\n<p>(ii) The up-to-date members&#8217; list, their\nnames as well as addresses as cited in the Register of Authors and Owners\nhandled by the Society, as provided in rule 64;<\/p>\n\n\n\n<p>(iii) Audited accounted relating to the\ncopyright society;<\/p>\n\n\n\n<p>(iv) The Distribution Scheme, Tariff\nScheme, and other Schemes, if any;<\/p>\n\n\n\n<p>(v) Annual report sanctioned by the\nGeneral Body rendering full account of all undertakings during the year; &amp;<\/p>\n\n\n\n<p>(vi) The member&#8217;s list to whom royalties\nare not allocated and the reasons for same; and<\/p>\n\n\n\n<p>(vii) The member&#8217;s list to whom royalties\nhave already been allocated together with the amounts so distributed<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Conclusion\"><\/span>Conclusion<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>Copyright Society serves a pivotal role for the author and owners who have secured copyright protection for their work.
