There are few conditions which should be\nkept in mind before giving a name to the firm, and those conditions are:<\/p>\n\n\n\n<ul>\n<li>The name you decide shouldn\u2019t be too similar or identical to an existing firm involved in the same business.<\/li>\n\n\n\n<li>The second condition is that the name shouldn\u2019t contain words like emperor, crown, empire or any such word that shows the sanction or approval of the government.<\/li>\n<\/ul>\n\n\n\n<p>Now,\nonce the name is decided, the next step is to form an agreement between the\npartners. A partnership deed is an agreement between the partners which\nmentions the rights, duties, profits shares and other obligations of each\npartner. Although Partnership deed can be written or oral, however, it is wise\nto write a partnership deed to avoid any future conflicts.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Details_Required_in_a_Partnership_Deed\"><\/span>Details Required in a Partnership Deed<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p><em><strong>Although there is no specific format for drafting a partnership deed, a general deed contains following details and clauses:<\/strong><\/em><\/p>\n\n\n\n<ul>\n<li>Name and address of the all the partners .<\/li>\n\n\n\n<li>Date of commencement of business.<\/li>\n\n\n\n<li>Duration of firm\u2019s existence.<\/li>\n\n\n\n<li>Capital to be contributed by each partner.<\/li>\n\n\n\n<li>Profit\/loss sharing ratio.<\/li>\n\n\n\n<li>Salaries payable to partners.<\/li>\n\n\n\n<li>Duties and obligations of the partners involved.<\/li>\n\n\n\n<li>The process to be followed on account of retirement or death of a partner or dissolution of the firm.<\/li>\n\n\n\n<li>Other mutually decided clauses.<\/li>\n<\/ul>\n\n\n\n<div class=\"shadow1\"><strong>Note:<\/strong> To register a partnership firm in India, the partnership deed should be duly stamped and notarized.<\/div>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Registration_Process_of_Partnership_Firm\"><\/span>Registration Process of Partnership Firm<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>Although the <strong>registration of partnership <\/strong>firm is optional and at the discretion of the partners, however, it is always a wise decision to register the partnership firm so as to enjoy the rights which aren&#8217;t available to unregistered firms.<\/p>\n\n\n\n<p>Partnership Firms in India are governed by the Indian Partnership Act, 1932. In order to <a href=\"https:\/\/corpbiz.io\/partnership-firm-registration\" title=\"Partnership Firm Registration\"><strong>register a partnership firm<\/strong><\/a>, you will have to submit an application form along with the fees to Registrar of Firms of the state in which the firm is situated. The application to be submitted should be duly signed by all the partners or their agents. Thereafter, Partnership deed is created on the stamp paper, which should be signed by all the partners with notarization.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Documents_required_for_the_registration_process\"><\/span>Documents required for the registration process<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p><strong><em>Following is the list of documents needed to register a Partnership Firm in India:<\/em><\/strong><\/p>\n\n\n\n<ul>\n<li>Application for registration of partnership (Form 1).<\/li>\n\n\n\n<li>Specimen of an affidavit.<\/li>\n\n\n\n<li>Certified original copy of Partnership Deed.<\/li>\n\n\n\n<li>Ownership documents of the business place if the property is owned.<\/li>\n\n\n\n<li>In case the property is on rent, rental agreement as a proof of principal place of business.<\/li>\n\n\n\n<li>Identity proof of all the partners involved which can be either of the documents out of PAN card\/ Aadhar Card\/ Driving License\/ Voter ID\/ Passport.<\/li>\n<\/ul>\n\n\n\n<p>All these documents should be submitted to the registrar who further verifies the documents. For partnership firm, the rate of income tax on the whole of the total income will be 30% surcharge on income tax.<\/li>\n\n\n\n<li>Partnership Firms having an annual turnover of over Rs. 100 lakhs are required to obtain a tax audit.<\/li>\n\n\n\n<li>GST registration is required for businesses whose annual turnover exceeds Rs 40 lakhs ( Rs 20 lakhs for North Eastern states).
