In the meeting, BODs will discuss and\nauthenticate the following matters:&nbsp;<\/p>\n\n\n\n<ul><li>The change in name.<\/li><li>Authenticating\na Director or the CS to check name availability with the Ministry of Corporate\nAffairs.<\/li><li>Conducting Extra-Ordinary General Meeting&nbsp;<\/li><\/ul>\n\n\n\n<h3 class=\"wp-block-heading\">Checking Name\nAvailability<\/h3>\n\n\n\n<p>The\ncompany secretary or authorized director can file an application in form INC-1\nto MCA for name searching and authentication of the same. The process is more\nor less the same as the process availed at the time of first name approval.<\/p>\n\n\n\n<p>RoC\nwill send the confirmation regarding the name availability to the applicant via\nletter. It\u2019s worth noting that this is not final approval.&nbsp;The proposed\nshould be unique in every aspect, and it shouldn\u2019t include the word \u201cstate.\u201d\nThe conditions associated with initial name approval will also apply to the new\nname.&nbsp;<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Passing Special\nResolution via EGM<\/h3>\n\n\n\n<p>Once\nthe name got the MCA\u2019s approval, the Company should convene an extraordinary\ngeneral meeting. A special resolution will be passed for the name alteration\nand Rectification of the Memorandum of Association and Articles of Association.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Filing Application with Registrar<\/h3>\n\n\n\n<p>A\nspecial resolution will be filed with the Registrar of Company within thirty\ndays of passing the resolution.&nbsp; Apart from that, form MGT-14 will also be\nfiled, which encloses the detail regarding special resolution. The applicant\nmust annex followed documents with the said form.&nbsp;<\/p>\n\n\n\n<ul><li>Altered Memorandum of Association,<\/li><li>Altered\nArticles of Association<\/li><li>Certified\ncopy of Special Resolution,<\/li><li>Notice\nof EGM,<\/li><li>Explanatory statement to EGM<\/li><\/ul>\n\n\n\n<p>The\nauthority will provide 28 digits Service Request&nbsp;Number (SRN) to the\napplicant during the application submission.<\/p>\n\n\n\n<p>Subsequent\nto filing the aforesaid form, the Company must file INC-24 with the RoC for\navailing permission from the central government for name change along with a\nstandard fee. The applicant is also required to append the SRN of INC-1 in the\nINC-24 form. In addition to the said form, the applicant must affix the copy of\na copy of the minutes of the Extra-Ordinary General Meeting.&nbsp;<\/p>\n\n\n\n<p><strong><em>Technically, the applicant is required to mention the following details in the INC-24:-<\/em><\/strong><\/p>\n\n\n\n<ul><li>Reasons of the name change,<\/li><li>Details\nabout the number of members<\/li><li>Detail\nof members who attended the EGM,&nbsp;<\/li><li>Number\nof members who cast their vote in meeting. <\/li><li>Shareholding percentage<\/li><\/ul>\n\n\n\n<h3 class=\"wp-block-heading\">Issuance of Incorporation\nCertification<\/h3>\n\n\n\n<p>If\nthe Registrar of Companies (RoC) doesn\u2019t find any discrepancies in the name\nchange application, the Registrar will grant a new incorporation certificate.\nThe new company name will not hold any legal relevancy in the absence of an\nincorporation certificate.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Incorporating New\nCompany Name in AOA and MOA&nbsp;<\/h3>\n\n\n\n<p>The\nissuance of a certificate of incorporation, make an effort to incorporate the\nnew name in all the copies of Articles of Association, Memorandum of\nAssociation, &amp; certification of incorporation granted by the\nRegistrar.&nbsp;<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Directions_on_%E2%80%98Suo_Moto_Released_by_Central_Government\"><\/span>Directions on \u2018Suo Moto\u2019\nReleased by Central Government<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p><em><strong>Central Government<\/strong><\/em><sup><a href=\"https:\/\/en.wikipedia.org\/wiki\/Central_government\"><em><strong>[1]<\/strong><\/em><\/a><\/sup> reserves the right to issue suo moto directions to companies for Rectification of the Company\u2019s name under specific circumstances. This order can be communicated anytime either &#8211;<\/p>\n\n\n\n<ul><li>Prior to\nCompany\u2019s registration. or<\/li><li>Post\nRegistration, or<\/li><li>Any time\nduring its existence<\/li><\/ul>\n\n\n\n<p>Registrar\nof Companies can order for Rectification of the Company\u2019s name.
