The following are mandatory to have:<\/li><\/ul>\n\n\n\n<ol><li>The requirement of Stamp Duty<\/li><li>The supplementary deed &amp; LLP\nagreement validity<\/li><li>The Signature required to be done\nby the partners<\/li><li>The attestation must be done by at least 2 witnesses. <\/li><\/ol>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Steps_for_Making_Amendments_in_LLP_Agreement\"><\/span>Steps for Making\nAmendments in LLP Agreement<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p><strong><em>The steps are as\nfollows:-<\/em><\/strong><\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Step 1 <\/h3>\n\n\n\n<p>Passing\nof the resolution must be done for an amendment in LLP Agreement.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Step 2 <\/h3>\n\n\n\n<p>Once a\nresolution is passed, within 30 days, form-3 has to be filed with the (ROC) Registrar.<\/p>\n\n\n\n<p><strong><em>The details must be\nfilled in Form-3 are:-<\/em><\/strong><\/p>\n\n\n\n<ul><li>Modification date of LLP agreement<\/li><li>The LLP before amendments<\/li><li>The LLP after amendments is done.<\/li><\/ul>\n\n\n\n<p><strong><em>The reason in whose\naccounts these changes have to be made such as:-<\/em><\/strong><\/p>\n\n\n\n<ul><li>Change in the nature of business<\/li><li>Change in partners<\/li><li>Change in the ratio of profit\/loss sharing between the partners<\/li><li>Change in the duties and rights of the partners.<\/li><li>Restricting authority for partners.<\/li><li>Change in management or administration of the partners<\/li><li>Alteration in the procedure of conducting meetings.<\/li><\/ul>\n\n\n\n<p><strong><em>Other change in\ndetails which are related to partners such as:-<\/em><\/strong><\/p>\n\n\n\n<ul><li>Retirement<\/li><li>Expulsion<\/li><li>Termination<\/li><li>Resignation<\/li><li>Admission<\/li><\/ul>\n\n\n\n<p><strong><em>Resolving the\ndisputes between:-<\/em><\/strong><\/p>\n\n\n\n<ul><li>Partners<\/li><li>Partners and the LLP<\/li><li>Other clauses which&nbsp; are related\nto LLP<\/li><li>The business activity details after amendment in LLP agreement is done.<\/li><li>The main division of industrial activities (NIC-2004).<\/li><li>Details regarding the shares (both profit and loss) of the partners\nafter the amendment.<\/li><\/ul>\n\n\n\n<h3 class=\"wp-block-heading\">STEP-3<\/h3>\n\n\n\n<p>In case\nof change in the designated partner, Form-4 requires be file along with Form-3.\nIn case of change in the details such as name, address, designation, and\nothers, Form-4 has to be filed.<\/p>\n\n\n\n<p><strong><em>Documents must\nfiled with Form-4:-<\/em><\/strong><\/p>\n\n\n\n<ul><li>Document with the consent of a partner<\/li><li>The proof of the termination.<\/li><li>The proof of change in the name or an affidavit.<\/li><li>In case, a designated partner is a company, a resolution must be given\nby a company in order to become a partner with an LLP.<\/li><li>The authorization letter requires to be submitted mentioning the name\nand address of the person who is nominated as the representatives and partner.<\/li><\/ul>\n\n\n\n<p>The\namendment in LLP agreement are only applied and completed once they are\napproved by the Ministry of Corporate Affairs. The LLP agreement will be\ndownloaded from the website of the Ministry of Corporate Affairs.<\/p>\n\n\n\n<p>The e-form will be downloaded, filled and be submitted or else it can also directly be filled online by using the (DSC) <a href=\"https:\/\/corpbiz.io\/learning\/how-can-one-avail-digital-signature-certificate-dsc\/\"><strong>digital signature certificate<\/strong><\/a> method. \u00a0In case of offline filling, the scanned document can directly be uploaded on the portal.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Rights_of_Partners_Mentioned_in_LLP_Agreement\"><\/span>Rights of Partners\nMentioned in LLP Agreement<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p><strong><em>The partners have\nfollowing rights, which are given below:-<\/em><\/strong><\/p>\n\n\n\n<ul><li>The partners can take part in the management of an LLP.<\/li><li>Partners can pledge\/mortgage assets of LLP for borrowing money for the\npurpose of the business of the LLP as permissible.<\/li><li>Partners have right, title interest share claim demand in all the assets\nand properties in the LLP in their respective profit sharing ratio.<\/li><li>Partners have access to and be entitled to inspect and copy any books of\naccounts and other records of the LLP.<\/li><li>Partners are entitled to continue to carry on or engage in their own,\nseparate and independent business carried except any business directly or\nindirectly competing with the business of the LLP. He shall not use the name or\nassets or goodwill or reputation of the LLP to carry on his own business.<\/li><\/ul>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Duties_of_Partners_Mentioned_in_LLP_Agreement\"><\/span>Duties of Partners\nMentioned in LLP Agreement<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p><strong><em>The partners have\nfollowing rights, which are given below:-<\/em><\/strong><\/p>\n\n\n\n<ul><li>The Partners have to work diligently and faithfully for purpose of the business of LLP and must be loyal towards LLP.<\/li><li>The Partners have to give time and attention as may be required for the fulfilment of the objectives of the LLP business.<\/li><li>The Partners must render true accounts and full information of all things affecting the LLP, or their Legal representatives.<\/li><li>The Partners must work for the benefit of LLP and must not do anything without the consent of the <a href=\"https:\/\/corpbiz.io\/llp-registration\"><strong>Limited Liability Partnership<\/strong><\/a> <\/li><li>In case any Partner of the LLP desires to transfer or assign his interest or shares in the LLP, he is bound to first offer the same to the other partner by giving 15 days&#8217; notice. In an absence of any communication by the other partner, the concerned partner can transfer or assign his share in the market.<\/li><\/ul>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Conclusion\"><\/span>Conclusion<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>After a\nsubmission and completion of LLP Agreement, further amendment in LLP agreement\ncan be made.
