Though nearly all NGOs work towards the upliftment\nof the society, their working protocols and organizational hierarchy may differ\nto a significant extend.&nbsp; &nbsp;<\/p>\n\n\n\n<p>NGO\u2019s top management comprises three entities \u2013 the board of directors (BOD), <strong><em>Executive Directors<\/em><\/strong><sup><a href=\"https:\/\/en.wikipedia.org\/wiki\/Executive_director\"><strong><em>[1]<\/em><\/strong><\/a><\/sup>, and the General Assembly. While daily operations and management are controlled by the boards, the executive directors and the rest of the members look into other affairs of the company related to its growth and development. <\/p>\n\n\n\n<p>A general assembly, on the other hand, is\naccountable for improving the image of the organization by imparting\ntransparency within its structures and day to day operations. The assembly also\nstrives to extend the footprint of the organization through fundraising\nactivities and public relation.&nbsp;<\/p>\n\n\n\n<p>Staff members are responsible for ensuring\nthe seamless functioning of day to day task. They are also held accountable for\nimplementing the organization\u2019s projects and programs. The executive director\nis the one who looks after ongoing projects. For instance- the duties of public\nrelations or project coordination can be handled by the same staff member. In\nthe case of the newly established NGOs, where manpower is not adequate, the\ntask related to planning, coordination, and implementation may be addressed by\na single team member. The registration process under section 8 of Companies Act, 2013<\/p>\n\n\n\n<p><strong>Step 1<\/strong>:<\/p>\n\n\n\n<p>Before indulging with application\nprocess, it is smart to gather all the documentation required in the process of\nincorporation as it consume plenty of time. <\/p>\n\n\n\n<p><strong><em>Document list is as follow<\/em><\/strong><strong>:<\/strong><\/p>\n\n\n\n<p><strong>1. For application related to DSC, <\/strong><strong><em>self attested<\/em><\/strong><strong> copy of:<\/strong><\/p>\n\n\n\n<ul>\n<li>Photo Identification \u2013 DL\/PAN\/Voter\nID. <\/li>\n\n\n\n<li>Address Proof- Bank statement, Voter\nID, Utility bill (not older than two months). <\/li>\n\n\n\n<li>Applicant\u2019s photograph (even soft\ncopy will be sufficed)<\/li>\n<\/ul>\n\n\n\n<p><strong>2. For <\/strong><strong>Name<\/strong><strong> Availability<\/strong><\/p>\n\n\n\n<ul>\n<li>Proposed name of the company (it\u2019s\nmandatory to use the term like Foundation or Association etc for Sec8 Company.)<\/li>\n\n\n\n<li>Main Objects of the company.<\/li>\n<\/ul>\n\n\n\n<p><strong>3. For <\/strong><strong>SPICE+ form<\/strong><strong>\u2013 (Application for Certificate for Incorporation)<\/strong><\/p>\n\n\n\n<ul>\n<li>Memorandum of Association (MOA)<\/li>\n\n\n\n<li>Articles of Association (AOA)<\/li>\n\n\n\n<li>Subscribers\u2019 PAN card to the memorandum<\/li>\n\n\n\n<li>Identification proof and address of directors to the memorandum. <\/li>\n\n\n\n<li>Rent deed of the registered office (notarized).<\/li>\n\n\n\n<li>No Objection Certificate from owner where is the office is situated. <\/li>\n\n\n\n<li>Utility bill of the registered office (should be the latest one)<\/li>\n\n\n\n<li>Declaration from all the directors under form INC 15.<\/li>\n\n\n\n<li>Declaration from the Chartered Accountant under form INC 14<\/li>\n\n\n\n<li>Estimated expenditure and earnings for the next three years in the given format. <\/li>\n<\/ul>\n\n\n\n<p><strong>4. For <\/strong><strong>AgilePro <em>(Formats\nAttached)<\/em><\/strong><strong><\/strong><\/p>\n\n\n\n<ul>\n<li>Bank\u2019s name, where the entity wishes to open the bank account. <\/li>\n\n\n\n<li>Specimen Signature <\/li>\n\n\n\n<li>Specimen Signature for Employees&#8217; Provident Fund&nbsp;<\/li>\n\n\n\n<li>NO objection Certificate for opening an account in the bank. <\/li>\n\n\n\n<li>Declaration of Authorized signatory for <strong>GSTN<\/strong><\/li>\n<\/ul>\n\n\n\n<p><strong>Step 2:<\/strong><\/p>\n\n\n\n<p>1. Use the RUN utility for the Name\navailability. <\/p>\n\n\n\n<p>2. Login to the website of MCA and\nselect <strong>MCA services&gt;RUN<\/strong><\/p>\n\n\n\n<p>3. Fill the online form and attach\nthe object clause and submit. (Attach the detailed object clause) <\/p>\n\n\n\n<p><strong><em>Key takeaway: The approved name will remain valid for 20\ndays, so once the authority approves the name, SPICE + needs to fill within\nthat time span. <\/em><\/strong><\/p>\n\n\n\n<p><strong>Step 3:<\/strong><\/p>\n\n\n\n<p><strong>Filling of <\/strong><strong>Web Form Spice +<\/strong><strong><\/strong><\/p>\n\n\n\n<p>After the name approval, the SPICe\nforms will be available for further process. As per the recent changes in the\nincorporation procedures, pdf forms are substituted with the Web forms, which\nneed to be filled on line for the purpose of affixing DSC. <\/p>\n\n\n\n<p><strong><em>Steps to fill the Web Form:<\/em><\/strong> <\/p>\n\n\n\n<p>1. Head over to the MCA offices and\ncompletes the login formalities.<\/p>\n\n\n\n<p>2. Next, select MCA services&gt;\nSpice +&gt; Existing Application<\/p>\n\n\n\n<p>3. Fill up the form deliberately. <\/p>\n\n\n\n<p>4. Attach the request documentations\nin the attachment section, each doc should be attested by the subscribers and\nmust enclose place and date. <\/p>\n\n\n\n<p>5. Submit the form. <\/p>\n\n\n\n<p>6. In addition to the SPICE, also\nmake sure to fill the Agile and INC9 file. (Note that INC 9 is an offline based\nform whereas Agile is a web form)<\/p>\n\n\n\n<p>7. After submitting the form\nsuccessfully, the download option shall be activated. All you need to download\nthe verification form and affix DSC. <\/p>\n\n\n\n<p>8. Submit all three forms as LINKED\nForms at Ministry of Corporate Affairs Website, with the requested fees. <\/p>\n\n\n\n<p>9. Upon approval of AGILE and SPICE,\nCOI and license no shall be granted which will enclose Incorporation date,\nCompany identification Number, TAN, and PAN of the company. <\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Conclusion\"><\/span>Conclusion<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>NGOs are the indispensable entities that\nensure the well-being of the deprived section of the societies.
