initiating the process of registration is to apply for the digital\nsignature for the designated partners of the proposed LLP. This is because all\nthe documents for registering an LLP are filed online, and they are required to\nbe digitally signed.<\/p>\n\n\n\n<p>Therefore,\nthe designated partner must obtain their digital signature certificates from a\ngovernment recognized certifying agencies. Moreover, the cost of obtaining DSC\nvaries, based upon the certifying agency. Also, you need to obtain either class\n2 or class 3 category of DSC.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Step 2: (DIN) Director Identification Number<\/h3>\n\n\n\n<p>Then, you\nhave to apply for obtaining the DIN of all the designated partners or those\nintending to be the designated partner of the proposed LLP.<\/p>\n\n\n\n<p>Furthermore,\nthe application for the allotment of DIN has to be made in Form&nbsp;DIR-3.\nThen, you have to attach the scanned copy of the required documents (usually\nAadhaar and PAN) to the form. The form needs to be signed by&nbsp;a Company\nSecretary in full- time employment of the company or by the Managing Director\/\nCFO\/ CEO of the existing company in which the applicant is going to be\nappointed as a director.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Step 3: Reservation of Name<\/h3>\n\n\n\n<p>Limited\nLiability Partnership-Reserve Unique Name (LLP-RUN) is filed for the\nreservation of name of proposed LLP which is then processed by the Central\nRegistration Centre under Non-STP. However, before quoting the name in the\nform, it is recommended that you use the free name search facility on&nbsp;the\nMCA portal. The system will provide the list of resembling names of existing\ncompanies\/LLPs based on the search criteria filled.<\/p>\n\n\n\n<p>It will help\nyou in choosing names which are not related to already existing names.\nFurthermore, the registrar will approve the name only if the name is not\nundesirable in the opinion of the Central Government and does not resemble any\nexisting partnership firm, an LLP, a trademark or any other body corporate.\nMoreover, the form RUN-LLP has to be accompanied with the fees as per Annexure\n\u2018A\u2019 which may be either approved or rejected by the registrar. A re-submission\nof the form is allowed to be made within 15 days for rectifying the defects in\ncase of rejection. Also, there is a provision to provide two proposed names of\nthe LLP.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Step 4: Incorporation of LLP<\/h3>\n\n\n\n<ul>\n<li>The form used for incorporation of an LLP is FiLLiP or Form for the      incorporation of Limited Liability Partnership) which shall be filed with the Registrar who has the jurisdiction over the state in which the registered office of the LLP is situated. The form is an integrated form.<\/li>\n\n\n\n<li>Pay the fees as prescribed under Annexure \u2018A.\u2019<\/li>\n\n\n\n<li>The form also provides for applying for the allotment of DPIN in case an individual who is to be appointed the designated partner does not have a DPIN or DIN.<\/li>\n\n\n\n<li>The application for the allotment is allowed to be made by only two      individuals.<\/li>\n\n\n\n<li>Also, the application for the reservation can be made through FiLLiP.<\/li>\n\n\n\n<li>In case the name is approved, then the approved and reserved name can be filled as the proposed name of the LLP<\/li>\n<\/ul>\n\n\n\n<h3 class=\"wp-block-heading\">Step 5: File Limited Liability Partnership Agreement&nbsp;<\/h3>\n\n\n\n<p>The LLP\nagreement governs the mutual rights and duties of the partners and also between\nthe LLP and its partners. Also, these actions must be taken regarding the LLP\nAgreement;<\/p>\n\n\n\n<ul>\n<li>The LLP agreement must be filed in form 3 online on the&nbsp;MCA Portal.<\/li>\n\n\n\n<li>LLP agreement in Form 3m has to be filed within 30 days of the date of incorporation.<\/li>\n\n\n\n<li>The LLP Agreement needs to be printed on a Stamp Paper.
