As per <strong><a href=\"https:\/\/corpbiz.io\/rbi\">RBI guidelines<\/a><\/strong>, for an NBFC says that it cannot carry on non-banking financial business if in case it does not have a certificate of registration from the bank (except for the NBFC\u2019s who are not regulated by the RBI), and if it does not have Net Owned Funds of Rs. 2 crores.<\/p>\n\n\n\n<p>An NBFC incorporated under&nbsp;<strong><em>Companies Act, 2013<\/em><\/strong><a href=\"https:\/\/en.wikipedia.org\/wiki\/Companies_Act_2013\"><strong><em><sup>[1]<\/sup><\/em><\/strong><\/a>&nbsp;willing to commence a business of non-banking finance should comply with the following RBI guidelines:<\/p>\n\n\n\n<ul>\n<li>It has to be registered under Section 3 of the Companies Act, 2013<\/li>\n\n\n\n<li>It must meet the requirements of minimum Rs. 10 crores of Net Owned Funds (except for NBFC-MFIs, NBFC-Factors, and CIC)<\/li>\n<\/ul>\n\n\n\n<p>Net Owned\nFunds can be calculated from a last audited balance sheet of the firm. Paid-up\nEquity Capital, Share Premium Account Balance, Free Reserves, and Capital\nReserve will constitute Total Owned Funds. In order to calculate Net Owned\nFunds, Balance of Accumulated Loss, deduct Revaluation Reserves,and the book\nvalue of Intangible Assets from Total Owned Funds. If the investment in shares\nof other NBFC\u2019s or in debentures and shares of subsidiaries and group companies\nis in excess of 10% of the owned funds shall be subtracted from the Net Owned\nFunds.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Documents_required_NBFC_Registration\"><\/span>Documents required NBFC Registration<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<ul>\n<li>Certificate of Company Incorporation<\/li>\n\n\n\n<li>Detailed information about management along with a brochure of the company<\/li>\n\n\n\n<li>A copy of PAN or Corporate Identity Number (CIN) of the company<\/li>\n\n\n\n<li>Documents related to the office location\/address<\/li>\n\n\n\n<li>Certified copy of the <a href=\"https:\/\/corpbiz.io\/learning\/between-memorandum-of-association-and-articles-of-association\/\"><strong>Articles of<\/strong> <strong>Association (AOA) and Memorandum of Association (MOA)<\/strong><\/a><\/li>\n\n\n\n<li>List of Directors\u2019 profile must be duly signed by each director must be      attached<\/li>\n\n\n\n<li>CIBIL or credit reports of the Directors of the Company are required<\/li>\n\n\n\n<li>A copy of a board resolution which certifies that a company has not carried out or stopped NBFC activity and will not carry until the registration from RBI is granted<\/li>\n\n\n\n<li>A board resolution on \u2018Fair Practices Code\u2019 is to be passed, and the      certified copy of a same is to be submitted.<\/li>\n\n\n\n<li>Certificate issued by the statutory auditor stating that the company is not holding the public deposit and does not accept it as well.<\/li>\n\n\n\n<li>Certificate specifying owned funds as on the date of an application from the Statutory Auditor is required.<\/li>\n\n\n\n<li>Information regarding the bank account, loans, balances, credits, etc. is to be furnished.<\/li>\n\n\n\n<li>If applicable, an audited balance sheet and profit and loss statement along with the directors and auditor\u2019s reports of the preceding three years have to be submitted.<\/li>\n\n\n\n<li>A self-certified copy of a bank statement and Income Tax Returns are      required.<\/li>\n\n\n\n<li> Information detailing a company\u2019s future plan, generally for the next three years, and the projection of balance sheets, cash flow statements, and income statements. <\/li>\n<\/ul>\n\n\n\n<h3 class=\"wp-block-heading\">NBFC Registration Fees <\/h3>\n\n\n\n<ul>\n<li>Fees must be deposited for NBFC registration is classified under various types which are mentioned below:<\/li>\n\n\n\n<li>While registering the company, a fee based on the company\u2019s authorized capital is to be paid to the Ministry of Corporate Affairs (MCA)<\/li>\n\n\n\n<li>A company also need to pay fees based on the authorized capital and other few factors for the MOA (Memorandum of Association) and AOA (Articles of Association) of the company<\/li>\n\n\n\n<li>Simplified Performa for Incorporating Company electronically (SPICe+) filling might also require the company to pay certain fees<\/li>\n\n\n\n<li>For (DIN) Director Identification Numbers, a predetermined fee is paid to the MCA<\/li>\n\n\n\n<li>A (DSC) Digital Signature Certificate&nbsp; is required for each director,      and thus its generation would require a payment of periodic fees<\/li>\n\n\n\n<li>Additional fees must required to be paid while applying to the registrar.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Conclusion\"><\/span>Conclusion <span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p><a href=\"https:\/\/corpbiz.io\/\"><strong>Corpbiz<\/strong><\/a>\u00a0is dedicated to helping in startups and MNC in solving legal and compliance related to starting and running their business.
