revolve around the\ncultivation of saving habits amongst its members, deposits acceptance from as\nwell as lending to its members for the sake of mutual benefit. <\/li><li>A\nNidhi Company needs to Net Owned Fund is a\nblend of paid-up equity share capital and free reserves. <\/li><li>Deposits\nmust not be more than <strong><em>20 times<\/em><\/strong> of Net Owned Funds. <\/li><li>Nidhi\nRules, 2014 specifies that unencumbered term deposits need to be equal to or\nmore than <strong><em>10% of the outstanding deposits<\/em><\/strong>. <\/li><\/ul>\n\n\n\n<h3 class=\"wp-block-heading\">Nidhi Company Rules and Regulations- Adhering to the Annual Compliances <\/h3>\n\n\n\n<p><strong><em>Companies registered under\nSection 406- Companies Act, 2013 should follow the mandatory annual compliances\nmentioned below- <\/em><\/strong><\/p>\n\n\n\n<p><strong>Form NDH-1<\/strong>&#8211; This Form encompasses the Return of Statutory Compliances.\nA Nidhi Company must file NDH-1 coupled with prescribed fees in <strong><em>the\ntime limit of 90 days<\/em><\/strong> from the first financial year-end. The duly\ncertification of this form must get completed through a Company&#8217;s Secretary or\na Chartered Accountant in practice.&nbsp; <\/p>\n\n\n\n<p><strong>Form NDH-2-<\/strong> This Form is concerned with the extension of time. Form NDH-2 should get submitted to the Regional Director in the <strong><em>time limit of 30 days<\/em><\/strong> from the first financial year-end. Furthermore, you need to file NDH-2 with the prescribed fees under <strong><em>Nidhi Rules, 2014<\/em><\/strong>. After the submission, the regional director will check and analyze the application and pass orders in not more than 30 days. Filing this form becomes a requirement if your company fails to maintain compliances such as the inability to keep the NOF to deposit ratio of 1:20 and maintaining at least 200 members till the end of one year of <a href=\"https:\/\/corpbiz.io\/nidhi-company-registration\"><strong>Nidhi Company Registration in India<\/strong><\/a><strong><em>. <\/em><\/strong><\/p>\n\n\n\n<p><strong>Form NDH-3<\/strong>&#8211; It is the application for a half-yearly return. In the <strong><em>time\nlimit of 30 days<\/em><\/strong> from the half-year closure, you should file NDH-3 as\nwell as prescribed fees with the <strong><em>Registrar of Companies<\/em><\/strong>. After filing NDH-4, companies can claim for the Nidhi status. If a company fails to obey the Nidhi Rules, it would eventually let the Nidhi status slip away from its zone. The due date for filing Form Nidhi-4 is in the time limit of sixty days after the year-end from the incorporation date for all the new Nidhi Companies. However, as per <strong><em>Rule 8,<\/em><\/strong> if the natural or legal guardian (Member of the company) make deposits in the name of a minor, then deposits would get accepted.<\/li><\/ul>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Rules_Regarding_the_Opening_of_Branches_by_Nidhi_Company\"><\/span>Rules Regarding the Opening of Branches by Nidhi Company<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<ul><li>As\ngiven in <strong><em>Rule 10 of Nidhi Rules 2014<\/em><\/strong>, a Nidhi Company can go for opening\nbranches only if it has managed to gain net profits after tax continuously\nwithin the last three financial years. <\/li><li>According\nto the provisions prescribed in sub-rule 1, a Nidhi Company can open up to\nthree branches in the areas of the district. <\/li><li>A Nidhi Company should take the Regional\nDirector&#8217;s permission to open more than three branches either in the district\nor outside the district&#8217;s boundaries. <\/li><li>Nidhi Company can&#8217;t decide to open the <strong><em>collection centers or branches or deposit centers or offices, <\/em><\/strong>and offices by other names outside the boundaries of the state where lies the Registered Office.&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;&nbsp;  <\/li><\/ul>\n\n\n\n<h3 class=\"wp-block-heading\">How can Nidhi Company close its Branch?<\/h3>\n\n\n\n<p><strong><em>To\nclose any particular branch of the Company, Nidhi Company needs to follow the\nfollowing points-&nbsp; <\/em><\/strong><\/p>\n\n\n\n<ul><li><strong><em>Before thirty days<\/em><\/strong> prior to the closure, Nidhi Company must publish a <strong><em>newspaper advertisement<\/em><\/strong> in the ingrained language in the place where it performs its business operations. Also, it should inform the public with respect to such closure.<\/li><li>Nidhi Company needs to fix such an advertisement copy or a notice specifying about the branch closing on the Company&#8217;s notice board for a thirty-day time limit from the date on which advertisement got published.&nbsp; <\/li><li>In the time limit of <strong><em>thirty days of closure, Nidhi Company<\/em><\/strong> must inform the Registrar of Companies. <\/li><\/ul>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Loans_under_Nidhi_Company_Rules_and_Regulations\"><\/span>Loans under Nidhi Company Rules and Regulations <span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>A Nidhi Company is liable to grant loans only to its respective members.<strong><em>Given below are the details concerning the loan limit and deposit amount-&nbsp; <\/em><\/strong><\/p>\n\n\n\n<div class=\"wp-block-image\"><figure class=\"aligncenter\"><img decoding=\"async\" width=\"594\" height=\"336\" src=\"https:\/\/corpbiz.io\/learning\/wp-content\/uploads\/2020\/06\/image-159.png\" alt=\"Loans under Nidhi Company Rules\" class=\"wp-image-11429\" srcset=\"https:\/\/corpbiz.io\/learning\/wp-content\/uploads\/2020\/06\/image-159.png 594w, https:\/\/corpbiz.io\/learning\/wp-content\/uploads\/2020\/06\/image-159-300x170.png 300w\" sizes=\"(max-width: 594px) 100vw, 594px\" \/><\/figure><\/div>\n\n\n\n<ul><li>If Nidhi Company has failed to make profits in\nthe previous three financial years, it won&#8217;t be able to make beyond <strong><em>50%\nof the maximum loan amounts<\/em><\/strong> provided in the table shown above. <\/li><li>If a member has borrowed a loan from Nidhi\nCompany and has turned out to be a defaulter at the time of repayment, he will\nnot be getting any further loan in the future.<\/li><\/ul>\n\n\n\n<h3 class=\"wp-block-heading\">Loans Granted by Nidhi Company against the Securities <\/h3>\n\n\n\n<p><strong><em>A\nNidhi Company can grant loans to Nidhi members only against the securities\nmentioned below- <\/em><\/strong><\/p>\n\n\n\n<ul><li>A Nidhi Company can provide <strong><em>loan against securities like silver, gold, and jewelry<\/em><\/strong>. The repayment duration for loans against these securities must not exceed one year. Loans against these securities are common nowadays. The loan value must not cross the range of <strong><em>80% of the entire gold or silver value.<\/em><\/strong><\/li><li>A Nidhi Company can also advance <strong><em>loans against Immovable Property<\/em><\/strong>. The repayment period for such a loan must not cross the time limit of seven years. Besides this, the repayment must not exceed <strong><em>50% of the entire loan. <\/em><\/strong><\/li><li>A Nidhi Company can also grant loans against securities like <strong><em>National Saving Certificates, Fixed Deposits Receipts, Insurance Policies, as well as other Government Securities<\/em><\/strong>. Such securities must get pledged with Nidhi, and they shall not witness lows beyond the loan period or one year; the earlier one would get considered first. <\/li><\/ul>\n\n\n\n<p><strong><em>In the matter of loan against fixed deposits (FD), the loan period shall be below the FD unexpired period.<\/em><\/strong><\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Rate of Interest under Nidhi Company Rules and Regulations<\/h3>\n\n\n\n<p>The rate of interest that would get charged on any loan granted by a Nidhi Company must not <strong><em>exceed 7.5% above the rate of interest<\/em><\/strong> (The highest one) offered from the Nidhi side on deposits and would get calculated on reducing balancing method. Information concerning the rate of interest is available in <strong><em>Rule 16 of Nidhi Rules 2014.<\/em><\/strong><\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Nidhi_Company_Rules_and_Regulations_Concerning_Directors\"><\/span>Nidhi Company Rules and Regulations Concerning Directors <span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p><strong><em>In Rule 17- Nidhi Rules 2014, the Nidhi Company rules and regulations for the directors are- <\/em><\/strong><\/p>\n\n\n\n<ul><li>The director must be a Nidhi member.<\/li><li>The\ndirector of a Nidhi Company needs to hold office for <strong><em>tenure of ten sequential years on\nthe Nidhi Board.<\/em><\/strong><\/li><li>The\ndirector should meet the eligibility criteria for re-appointment after the\ntwo-year expiry of ceasing to become a director. <\/li><li>If\nthe central government has extended the directors&#8217; tenure in any case, then it\nwould terminate on extended tenure expiry. <\/li><li>The person to be a director must comply with all\nthe major requirements under the Nidhi Rules, 2014.<\/li><\/ul>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Penalties_Imposed_for_Non-Compliance_of_Nidhi_Company_Rules_and_Regulations\"><\/span>Penalties Imposed for Non-Compliance of Nidhi Company Rules and Regulations\n<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>If one does not\nact in accordance with <strong><em>Nidhi Rules, 2014, as well as Companies Act,\n2013<\/em><\/strong>, then the company and all the officers in default, would get\npunished with fine which may extend up to <strong><em>Rs. Five thousand<\/em><\/strong>. Along with this,\nif the contravention continues from the side of the company, then it would get\nmarked as punishable.
