AIR 1955 Cal 132]<\/strong><\/em><\/p>\n\n\n\n<ol><li>First of all, it will get contemplate\nwhat may be labelled by the common law of the country as to voting at meetings.\nIt was held in this case for the <strong>first\ntime relating to the nature of voting by show of hands.&nbsp;<\/strong><\/li><li> It was acknowledged undoubtedly that, according to such common law, votes at all <strong>meetings are engaged by show of hands<\/strong>.\u201d&nbsp; <\/li><\/ol>\n\n\n\n<ul><li><strong>Case Law:<\/strong>&nbsp;&#8211;&nbsp;<em><strong>M\/s Amarjit Singh vs Chanjiti Singh and Ors [(2004) (1) SCR 397]<\/strong><\/em><\/li><\/ul>\n\n\n\n<p>The\nSupreme Court of India made these following explanations on voting by show of\nhands while discharging the case.<\/p>\n\n\n\n<p><strong>Those are as follows:-&nbsp;<\/strong><\/p>\n\n\n\n<ol><li>Voting\nat all meetings is portrayed by a show of hands in <strong>common law countries<\/strong>. It becomes\na concluding resolution of the meeting once a motion has been nominated or\nvoted upon.<\/li><\/ol>\n\n\n\n<ul><li><em><strong>Case Law: &#8211; Dhakeswari Cotton Mills Ltd vs. Nil Kamal Chakravorty and others [AIR 1937 Cal 645 173 Ind Cas 622]<\/strong><\/em><\/li><\/ul>\n\n\n\n<ol><li>The\n<strong>Calcutta High Court<\/strong> in case of perceived\nthat \u201c<strong>no difficulty arises if there is\nno disagreement about the Chairman\u2019s declaration<\/strong>\u201d.<\/li><li>On\nthe other hand, the court has to regulate on evidence what the declaration was,\nif there is any <strong>dispute<\/strong>.&nbsp;<\/li><\/ol>\n\n\n\n<p><em><strong>Case Law: &#8211; Re. The senior owner\/holder in case of joint holders and\ncommittee or legal guardian in case of a member of \u2018<strong>unsound mind\u2019<\/strong> may vote on a show of hands, as delivered conditions\nin <strong>article 52 and 53<\/strong> of <strong>Table F of Schedule I of the Act<\/strong>.&nbsp;<\/li><\/ul>\n\n\n\n<h3 class=\"wp-block-heading\">Chairman Casted vote<\/h3>\n\n\n\n<ul><li>In the occasion\nof an <strong>equality of votes<\/strong>, the\nChairman of the meeting has a <strong>casting\nvote<\/strong>. As a result, the company and every officer of the company who is in evasion should be punishable with a fine up to <strong>Rs. 10,000<\/strong> as the penalty for such infringement.&nbsp;<\/li><li>Fine for the penalty shall be Rs. 1,000 for every day of breaking rules where the contravention is a continuing one. On the other hand, the <strong>Chairman must be prepared to call a poll<\/strong> and the Company Secretary should include this procedure within the <strong>Chairman\u2019s script<\/strong> if there is opposition to a proposal or a shareholder demands a poll.<\/li><li>Based on the company\u2019s circumstances and its shareholder base, each      company needs to determine the method to be used.<\/li><li>The Notice of AGM should explain the reasons if companies move to      vote on a poll and set out that voting will be held by-poll which will      also need to be reproduced in the Chairman\u2019s lettering. <strong>Counting &amp; checking<\/strong> against proxy forms lodged against the <strong>register of members<\/strong>, <strong>preparing a report<\/strong> and <strong>final certificate<\/strong> of the result of the poll is indispensable. It is because the Liaison with your      company\u2019s registrars will be key fundamentals as they will be responsible for issuing poll cards. To ensure the proper equipment is brought to the AGM to conduct the poll, you must highlight this in advance.<\/li><li>The consequences of the AGM must be announced via an <strong>RNS announcement<\/strong> as soon as possible following the conclusion of the AGM from whichever process is used. It must be showed on the company\u2019s website and <strong>uploaded to the National Storage Mechanism<\/strong>.<\/li><li>Similarly, remember that the company should enlighten when      announcing the results of voting what actions it intends to take to      understand the reasons behind the result if there is an important <strong>proportion of votes cast<\/strong> against a resolution are to be <strong>furnished till June 30, 2020<\/strong>, which includes leading the extra-ordinary general meeting (\u2018EGM\u2019 or \u2018Meeting\u2019) for passing the resolutions of urgent nature through <strong>(\u2018VC\u2019) video conferencing and (\u2018OAVM\u2019) other audio-visual resources. <\/strong><\/li><li>In addition to that, voting by show of hands and postal ballot, etc., additional <strong>circular dated April 13, 2020<\/strong> (Jointly mentioned to as \u2018EGM Circulars\u2019) was brought in the potency in order to provide more clarity on the modalities, to company has the <strong>email addresses<\/strong> of 1\/2 of its total number of members, in its records.<\/li><\/ul>\n\n\n\n<ol><li>To be capable of the above said, <strong>holding shares of more than 1000 rupees<\/strong> in face value or <strong>exceeding 1% of the total paid-up share capital<\/strong> must be adhered to in the case of a <a href=\"https:\/\/corpbiz.io\/nidhi-company-registration\"><strong>Nidhi Company<\/strong><\/a>.<\/li><li>Hold at <strong>least 75% of the paid-up<\/strong> share capital in case of other companies having a share capital.<\/li><li>The standards will be contingent upon who has the right to <strong>exercise not less than 75% of the total voting power<\/strong> applicable at the meeting in case of companies not consuming share capital.<\/li><\/ol>\n\n\n\n<ul><li>The company shall take all essential steps to register the email      addresses of all persons who have not listed their email addresses with the company.<\/li><li>As an alternative of physical copies, the <strong>board\u2019s report<\/strong>, other <strong>documents<\/strong>, and <a href=\"https:\/\/corpbiz.io\/learning\/basic-financial-statements\/\"><strong>financial statements<\/strong><\/a> will be distributed through <strong>e-mail<\/strong> only.<\/li><li>On the subject of the members to give their mandate for receiving      dividends directly in their bank accounts through the <strong>Electronic Clearing Service (ECS)<\/strong> or any other means, in that case, the companies shall make adequate provisions for permitting the same.<\/li><li>If bank accounts are not obtainable to the person\/member, in that      case, the company shall work upon standardization of the <strong>postal services<\/strong>; <strong>dispatch the dividend cheque\/warrant<\/strong> by post to the shareholders.<\/li><\/ul>\n\n\n\n<h2 class=\"wp-block-heading\"><span
