NGO Types

NGO Registration Types We Handle

We cover all non-profit registration structures and post-registration compliance including FCRA, CSR-1, and NGO Darpan.

Public Charitable Trust
Indian Trusts Act, 1882 (State-Specific)

Simplest and quickest NGO structure. Registered with Sub-Registrar (like a property deed). Minimum 2 trustees. Suitable for small charitable activities, family philanthropic initiatives, and religious purposes. Trust Deed defines objects and rules.

Registered Society
Societies Registration Act, 1860

Membership-based organization registered with Registrar of Societies. Suitable for professional associations, alumni groups, welfare organizations, and community groups. Governed by MOA and Bye-Laws. Annual general meetings and elections required.

Section 8 Company
Companies Act, 2013 — Non-Profit Company

Most credible NGO structure regulated by MCA. Required for receiving CSR funds from most large corporations. Higher governance standards, mandatory audit, and annual ROC compliance. Preferred by institutional donors, foreign funders, and government agencies.

FCRA Registration
Foreign Contribution Regulation Act, 2010

FCRA registration allows NGOs to receive foreign donations from overseas individuals, foundations, and international organizations. Requires 3+ years of NGO existence with track record. Filed with Ministry of Home Affairs. Separate FCRA bank account mandatory.

CSR-1 Registration
Companies (CSR Policy) Rules, 2014

CSR-1 registration on MCA portal is mandatory for NGOs to receive Corporate Social Responsibility (CSR) funds from companies under Section 135 of Companies Act. Enables NGOs to appear on the MCA CSR portal for company selection. Required by most CSR-giving corporations.

NGO Darpan
NITI Aayog — Unique ID for NGOs

NGO Darpan is NITI Aayog's platform that provides a unique NGO ID (UID) to registered NGOs. Mandatory for receiving government grants, Central Government project participation, and various central scheme funding. Required for FCRA prior permission application.

Risks of Not Registering

Risks of Running an Unregistered NGO

Operating charitable activities without proper NGO registration limits your funding, creates legal risk, and denies tax benefits to donors.

Funding Alert: Most CSR donors and government agencies now mandate Section 8 Company + CSR-1 + 12A + 80G registration. Unregistered NGOs are completely ineligible for formal grants and CSR funds exceeding ₹10 lakh.
No Tax Exemption
NGO income taxed at full rates without 12A registration — income tax on donations and grants received
No CSR Funding
Corporate CSR departments cannot donate to unregistered organizations — you miss ₹26,000+ crore CSR corpus
No Foreign Funds
FCRA is mandatory for foreign donations — illegal receipt of foreign funds attracts criminal prosecution
Donation Barrier
Donors cannot claim 80G deduction without NGO registration — reduces donor motivation and large donations
No Govt. Grants
Central and State government grants require NGO Darpan UID and valid registration — unregistered NGOs ineligible
Personal Liability
Without legal entity registration, founders are personally liable for all NGO debts, contracts, and legal disputes

Frequently Asked Questions — NGO Registration

Get answers to NGO registration and compliance questions from our expert CA/CS team.

Registered NGOs gain legal recognition, eligibility for grants and government schemes, tax exemptions, and greater donor credibility.

Yes, founders and trustees can receive reasonable salary/remuneration from their NGO for services rendered, provided it is specifically permitted in the Trust Deed/MOA and approved by the governing body. However, trustees/directors cannot receive profits or dividends from the NGO. The Income Tax Act and 12A regulations require that payments to trustees are at arm's length and not excessive. Corpbiz includes appropriate salary provisions in the Trust Deed/MOA to enable founders to earn a livelihood from their NGO work.

Minimum persons required: Public Charitable Trust: 2 trustees (1 settlor/founder + 1 trustee). Registered Society: 7 members (for national level) or 7 members from same state for state-level registration. Section 8 Company: 2 directors and 2 shareholders (can be the same persons). There is no maximum limit for members/trustees in any structure. Corpbiz recommends having at least 3-5 trustees/directors for better governance and succession planning in long-term NGOs.

To receive donations legally and provide tax benefits: Register NGO (Trust/Society/Section 8), obtain PAN, open a dedicated NGO bank account, apply for 12A registration (tax exemption for NGO), apply for 80G registration (donor tax deduction benefit), register on NGO Darpan for NITI Aayog recognition, and register CSR-1 on MCA portal for corporate donations. For foreign donations, apply for FCRA after 3 years of existence. Issue official receipts for all donations. Corpbiz handles the complete compliance setup for legal donation receipt.

FCRA (Foreign Contribution Regulation Act) registration allows NGOs to receive donations from foreign individuals, foundations, bilateral organizations, and international NGOs. Eligibility: NGO must be registered for at least 3 years, have spent minimum ₹15 lakh on charitable activities in the past 3 years, and file FCRA application with MHA. A separate designated FCRA bank account at SBI New Delhi Main Branch is mandatory. Prior permission (without 3-year requirement) is available for specific foreign projects. Corpbiz provides complete FCRA registration support including MHA application, bank account setup, and annual FCRA compliance.

Annual NGO compliance includes: Income Tax Return (ITR-7) filing, Audit by Chartered Accountant (mandatory for all NGOs claiming 12A exemption), Annual return filing with Registrar (Society/Section 8), FCRA Annual Return (FC-4) if FCRA registered, 12A compliance — spend 85% of income on charitable purposes, 80G compliance — maintain proper donation receipts, MCA annual filings (AOC-4, MGT-7) for Section 8 Companies. Non-compliance can result in cancellation of 12A/80G registration and tax demands. Corpbiz offers annual compliance packages for complete NGO compliance management.

CSR-1 is a registration on the MCA portal for NGOs/implementing agencies that wish to receive CSR funds from companies under Section 135 of the Companies Act. Since April 2021, all NGOs receiving CSR funds must file Form CSR-1 on MCA portal and get a unique CSR Registration Number (CRN). Without CSR-1, companies cannot channel their CSR budget to your NGO. The registration requires: valid NGO registration (Trust/Society/Section 8), GST, PAN, and DSC of authorized signatory. Corpbiz handles CSR-1 registration as part of the Standard and Premium NGO packages.

Pan-India operations for NGOs: Section 8 Company: registered at national level with MCA, can operate in all states without separate registration. It is the most flexible for national operations. Registered Society: state-level registration. For multi-state operations, most states require separate registration or chapter recognition. Some states accept national-level Society registration. Public Charitable Trust: state-specific registration, limited to the state of registration. For pan-India work, Section 8 Company or national-level Society registration is recommended. Corpbiz advises the right structure for your geographic scope.

NGO Darpan (ngodarpan.gov.in) is NITI Aayog's transparency portal for voluntary organizations. Benefits of NGO Darpan registration: Unique NGO ID (UID) required for Central Government grants, mandatory for FCRA Prior Permission application, helps NGOs appear in government CSR and funding databases, establishes credibility with donors and government agencies. Registration requires NGO registration certificate, PAN, governing body details, and bank account. It is a mandatory step for any NGO that plans to access government funding or FCRA. Corpbiz includes NGO Darpan registration in all packages.

Yes, NRIs can be trustees or directors of Indian NGOs. However: For FCRA purposes, NGOs with majority NRI or foreign trustees may face stricter scrutiny. The FCRA amendment 2020 restricts office bearers of FCRA-registered NGOs from being government employees or foreign citizens. For Section 8 Company, at least one director must be a resident Indian. NRI and foreign trustees are allowed but their presence must not compromise FCRA eligibility. Corpbiz provides guidance on NRI/foreign trustee structuring to maintain FCRA eligibility and Indian governance standards.

80G registration is a powerful fundraising tool. Donors can claim 50% of their donation as deduction from taxable income (for most NGOs). This means: A donor paying 30% tax who donates ₹1 lakh saves ₹15,000 in taxes. For corporate donors in 25% tax bracket, the effective cost of a ₹10 lakh donation is only ₹8.75 lakh. NGOs with 80G registration raise significantly more funds as donors prefer tax-efficient giving. 80G certificate must be displayed on donor receipts and the NGO's website. Corpbiz handles complete 80G application and compliance for maximum donor benefit.

Corpbiz has registered 10,000+ NGOs including trusts, societies, and Section 8 companies with a specialized CA/CS team experienced in non-profit law.
